EchoStar seeks an Associate Corporate Counsel – Technology Transactions to serve as a trusted legal partner on complex and strategically significant technology deals. The position addresses key operational and legal challenges by structuring, drafting, and negotiating agreements across cloud platforms, enterprise software, AI/ML services, terrestrial network backhaul, network infrastructure, non-terrestrial network (NTN) integration, satellite hardware/capacity, and strategic technology partnerships. This role bridges technical architecture, licensing models, and data flows with high-velocity commercial requirements to maintain business momentum. By translating complex technical requirements into balanced legal protections, the attorney ensures long-term business optionality in a rapidly evolving technological landscape.

 

What Success Looks Like (Objectives):

  • Own and drive complex technology transactions from intake through execution with minimal senior supervision, including cloud, SaaS, AI/ML, hardware, terrestrial and non-terrestrial network infrastructure, satellite capacity, and ground station agreements
  • Structure bespoke agreements for novel technology arrangements where no template exists, covering hybrid cloud deployments, hybrid satellite-terrestrial deployments, direct-to-device/NTN integrations, AI-enabled service offerings, and multi-party platform integrations
  • Build and maintain the technology transactions playbook by standardizing forms, fallback positions, and escalation criteria that scale team capacity
  • Serve as the internal subject-matter expert on software licensing models, cloud commitments, satellite capacity leasing, ground segment infrastructure, terrestrial fiber backhaul, AI risk allocation, IP ownership in joint-development arrangements, and data governance
  • Partner with Engineering, Product, InfoSec, Spacecraft Operations, and Sourcing to translate technical requirements into contractual protections 
  • Leverageing AI application tools to accelerate contract review, template creation, and risk analysis workflows

Skills, Experience and Requirements

Core Skills and Competencies (What you’ll bring):

  • Exceptional technical drafting expertise with demonstrable skill structuring bespoke, complex software, SaaS, hybrid cloud, satellite infrastructure, and software development agreements
  • High technical fluency with the ability to read and discuss cloud architecture diagrams, software licensing models, data flows, security frameworks, and space/ground network architecture diagrams alongside engineering counterparts
  • Strong business acumen and a proven ability to balance legal risk against commercial objectives, influencing stakeholders beyond the legal lane and proactively proposing solutions
  • Effective cross-functional partnership across fast-paced Engineering, Product, Finance, InfoSec, and Sourcing environments
  • Demonstrated AI literacy and application, demonstrating comfort working with AI tools to capture efficiency and champion AI-enabled practices within the legal department

 

Preferred Qualifications:

  • Prior in-house experience at a technology, aerospace, telecom, or media company of similar scale and complexity
  • Experience with AI governance, AI procurement, or AI-as-a-service deal structures; familiarity with telecommunications, satellite, and network infrastructure industries
  • Track record of building contracting playbooks, templates, or CLM workflows at scale
  • Proficiency with legal technology tools, including CLM systems (iManage), general AI tools (Gemini, Claude, Amazon Quick), and legal-specific AI tools (Harvey)

 

Minimum Requirements:

  • JD from an ABA-accredited law school; active bar admission in at least one U.S. state
  • Three (3) or more years of legal experience focused on technology transactions in-house, at a law firm, or a combination
  • Extensive drafting and negotiation experience with enterprise software/SaaS agreements, cloud services, professional services, terrestrial and non-terrestrial network deals, and at least one of: AI/ML agreements, hardware procurement, or strategic partnership agreements

Salary Ranges
Compensation: $116,875.00/Year - $165,000.00/Year

The base pay range shown is a guideline. Individual total compensation will vary based on factors such as qualifications, skill level, and competencies; compensation is based on the role's location and is subject to change based on work location.
