The Gogo Sr. Corporate Paralegal works with departments across the company to provide general legal support, coordinates and manages the department's workflow process, and maintains various corporate and compliance records.  You will support all aspects of the company's business operations, including Securities and Exchange filings (e.g., Form 10-K, 10-Q, and Proxy Statement), intellectual property, entity management, and strategic activities such as mergers and acquisitions. The right candidate will have the ability to work independently, prioritize workload in a fast-paced environment, and communicate effectively.

How will you make a difference?

  • Acts as principal manager for the establishment of new entities and ongoing maintenance with the assistance of our third-party vendor.

  • Works closely with legal, regulatory, executive, and other business teams on securities, compliance procedures, and overall entity management process.

  • Assists with general management of corporate records, compliance requirements, intellectual property portfolio, and various required SEC and corporate filings

  • Assists with uploading documents to and maintenance of the Board of Director’s electronic portal

  • Develops and drives project and process improvement initiatives, policies, and procedures designed to support the legal department and company business objectives

  • Assists attorneys with diligence projects and legal research requests

  • Responds to administrative requests (e.g., vendor forms, notarization, signatures)

  • Assists with the maintenance of legal e-billing system, including onboarding new firms

  • Works with other company departments (Finance, HR, Marketing, etc.) to obtain and provide corporate information for various purposes, as required

Qualifications

  • Bachelor’s degree in Paralegal studies, English, a related legal discipline, or equivalent work experience

  • 7-10+ years of experience as a paralegal in a corporate and/or commercial practice in a fast-paced in-house or large law firm environment. Experience with, and enthusiasm for, process improvement, research, and problem-solving.

  • Demonstrated knowledge of entity creation and management

  • Colorado Notary License

Required Experience, Skills & Talents

  • Demonstrated knowledge of legal principles and practices, interpretation of applicable laws, policies and procedures

  • Strong knowledge of securities law

  • Ability to explain legal concepts into actionable recommendations

  • Legal research and writing skills

  • Excellent written and oral communication skills

  • Highly organized and detail-oriented

Preferred Experience, Skills & Talents

  • PACC - Paralegal Advanced Competency Certification

Equal Pay Disclosure(s)

Base Pay:

104,000.00 - 130,000.00 USD Annual

Target Annual Short-Term Incentive:

Bonus Plan at 10% (% of Annualized Base Pay)
