Guild is hiring a Legal Counsel, Commercial. This role is an individual who thrives in an environment driven by mission, agility, and high growth, who can partner with and support our prospect and client facing teams in navigating complex legal and regulatory issues. The Legal Counsel will partner closely with all business teams at Guild. They are driven by collaboration, problem-solving, and practicality in partnership with all levels and functions and bring deep expertise and experience in complex commercial contracting from either a firm or in-house environment.
As Legal Counsel, Commercial, you will:
- Draft, review and negotiate complex legal agreements (NDA, MSA, Order Forms, SLA’s, etc.) with a focus on vendors; with opportunities to also work with employer partners and academic partners;
- Support other corporate counsel and other members of the Legal Department with contracting efforts, process improvements, and research projects;
- Support Procurement team with managing overall procurement process;
- Help define, manage, and improve vendor contracting processes, including management of tools, legal terms playbooks and policies, standard form agreements and documents, and risk-management policies;
- Coordinate contract terms reviews with Information Security, Privacy, Finance and other internal Guild teams;
- Collect, collate, analyze, and provide insights to the Legal Department and leaders across our Company based on data from our vendor contracts;
- Foster strong working relationships with internal business clients, as well as external vendors, customers, partners, and other third parties and their counsel; and
- Assist in the development and provision of legal training programs on the contracting and legal processes and standards, company policies, regulatory landscape, and other legal topics as it relates to the Procurement process.
You are a strong fit for this role if you have:
- 3+ years of experience in complex, strategic commercial negotiations and contracting, with the majority being review of procurement agreements;
- J.D. degree from an accredited law school and a license to practice law in Colorado or another state (subject to approval by Legal Dept.);
- Working knowledge of commercial contracting considerations and regulatory landscape relating to technology, SaaS/software, data privacy, AI, and intellectual property;
- A demonstrated ability to simultaneously manage and meet deadlines (often tight timelines) for numerous negotiations and projects consistent with the Company’s business objectives and requirements;
- A collaborative, client-focused approach and ability to develop strong relationships with internal and external clients; and
- Demonstrated experience in analyzing and synthesizing complex matters concisely and clearly convey advice into easy-to-understand written communications for a wide range of colleagues across the Company.
Preferred Competencies
- Experience partnering with Fortune 500 companies and/or large educational institutions and learning providers or other regulated entities; and
- Experience using internal Contract Lifecycle Management (CLM) and Procurement tools.

This role offers a competitive total compensation package, including a base salary of $144,000 - $165,000 and stock options. Compensation offered will be based on a combination of factors such as experience, competencies, and internal equity.
