- Draft and negotiate purchasing contracts, sales, licensing and other agreements, counselling business leaders on risk, deal structuring and negotiation strategy. This is a highly transactional role that will focus mainly on procurement agreements and negotiations with some support of sales agreements and negotiations.
- Provide contract interpretations and advise on compliance with contractual responsibilities, company policies, and applicable laws/regulations.
- Advise on contractual, privacy, employment, technology, procurement, and intellectual property matters.
- Manage external counsel.
- Support sales, corporate procurement, IT, finance, treasury, and risk management activities.
- Lead and contribute to significant projects, programs, and business initiatives to improve processes and create scalable solutions for a fast-growing company
- Work independently with limited supervision, and mentor and review the work of junior professionals. Problems faced are often complex and require a motivated, self-sufficient, and creative attorney.
- 1-3 years’ functional experience including SAAS, software licensing and procurement specific experience.
- Experience negotiating software license agreements, SAAS Agreements and other IP related agreements.
- Licensed to practice law in the state employed.
- JD from an accredited law school.
The ideal candidate will also possess:
- Experience negotiating Data Processing Agreements privacy related issues, and security related issues.
- Functional knowledge of the technical information needed in various departments.
- A strong knowledge of technology and systems used by various departments within a software company.
- The ability to make significant contributions to improve internal processes and systems.
- compensation 139,000-160,000 plus bonus
- A focus on their internal customers and the acumen to cultivate and develop lasting customer relations.
