We are looking for a Contracts Manager to join our in-house Legal team. The role will report to the Chief Legal Officer and will own the day-to-day vendor contracts and procurement workflow for the Legal team, serve as the subject matter expert for our contract lifecycle management system, and play a central role in two major platform build-outs: the migration of approximately 65,000 agreements, and the evaluation and implementation of an AI-assisted contract redlining and e-signature tool.
You will work closely with the Legal team and with business partners from across the EverCommerce organization. You will be comfortable working autonomously, managing a high volume of concurrent matters, and making sound, practical decisions in a fast-paced environment. This role also provides general administrative support to the Legal team as needed. This is a high-ownership role with significant operational scope on a team that takes its infrastructure and processes seriously.
You:
You are seeking an opportunity to take real ownership of a vendor contracts portfolio and procurement operations function at a fast-growing technology company. You thrive working through a high volume of concurrent matters and take pride in being the reliable, responsive point of contact that business teams and the Legal team count on. You are highly organized and can juggle multiple competing deadlines without dropping the ball. You are deeply process-minded: you notice inefficiencies, document what you learn, and look for ways to make the workflow faster and more predictable. You are also systems-fluent — comfortable owning a CLM platform, learning new tools quickly, and contributing meaningfully to platform build-outs and migrations. You are an effective communicator who can translate contract and procurement concepts for non-legal stakeholders without jargon or unnecessary friction.
You will be responsible for owning and managing the high-volume commercial contracts workflow in support of the Legal team, including the following:
Contract Review & Negotiation (55%)
- Serve as first-line reviewer, redliner, and negotiator on incoming vendor agreements, SaaS order forms and MSAs, statements of work, and routine low-level customer contracts
- Apply established playbooks and pre-approved fallback positions to resolve common negotiation issues independently; escalate to Corporate Counsel when matters exceed defined risk thresholds or require legal judgment
- Draft and negotiate contract amendments, renewals, and change orders on template-driven or recurring counterparty relationships
- Review and provide practical guidance on standard commercial provisions including limitation of liability, indemnification, IP ownership, data processing, termination rights, and payment terms
- Serve as the day-to-day procurement point of contact for the Legal team — fielding incoming contract requests, coordinating with Procurement, and managing vendor relationships through the contracting lifecycle
Contract Lifecycle Management & Systems Ownership (25%)
- Serve as the Legal team's subject matter expert for our contract lifecycle management system — owning system configuration, user support, data integrity, and ongoing maintenance
- Own the end-to-end intake process for contract requests — including monitoring incoming requests from our Coupa procurement system, creating and routing HappyFox tickets, and tracking status through execution
- Maintain accurate and up-to-date contract records, including metadata, renewal dates, counterparty information, and key terms
- Lead the day-to-day operational work on two major platform initiatives in partnership with Legal Ops: (1) the migration and organization of approximately 65,000 existing agreements, including metadata tagging, record cleanup, and contract categorization; and (2) the evaluation and implementation of an AI-assisted contract redlining and e-signature tool
- Coordinate with Procurement and business unit stakeholders to gather vendor details and business context
- Support the executive approval workflow by preparing contracts with relevant context and routing through the appropriate approval channels
Process & Playbook Development (10%)
- Partner with Legal Ops to develop and refine contract playbooks, standard templates, and pre-approved fallback language for the highest-volume contract types
- Identify patterns in the contract queue — recurring counterparties, common negotiation issues, intake bottlenecks — and proactively propose standardization or automation opportunities
- Develop intake guides and training materials to help business teams submit better-prepared contract requests
Business Partnership & Administration (10%)
- Serve as the responsive, knowledgeable first contact for business teams on routine contract and procurement questions — setting clear expectations on timelines and helping stakeholders understand the practical implications of contract terms
- Build strong working relationships with Procurement and business unit leaders who are frequent contract requestors
- Support Corporate Counsel with administrative and coordination aspects of higher-complexity deals as needed — document management, counterparty correspondence, and execution logistics
- Provide general administrative support to the Legal team as needed, including document management, filing, and coordination tasks
Expectations of You:
- You operate with a high degree of autonomy and take ownership of your work from intake to execution
- You manage a high-volume queue with strong prioritization judgment and consistent turnaround quality
- You are a relationship builder who's committed to providing excellent service to internal business partners
- You continually look for ways to improve processes and support the scale of the business
- You're unfailingly discreet and able to handle confidential and commercially sensitive information with the utmost care
- You communicate clearly and proactively — business teams always know where their contract stands
What You Have:
- 5+ years of experience in commercial contracts management, in-house contracts review, procurement operations, or transactional paralegal work — in-house corporate experience strongly preferred
- Demonstrated ability to independently review, redline, and negotiate commercial agreements (vendor, SaaS, services) with limited attorney oversight
- Strong working knowledge of standard commercial contract provisions — limitation of liability, indemnification, IP ownership, data processing/privacy, termination, and payment terms
- Experience managing a high-volume contract queue across multiple concurrent matters, with strong prioritization judgment
- Hands-on experience with a contract lifecycle management system — including record management, metadata, and renewal tracking; systems ownership or admin experience a plus
- Familiarity with procurement workflows and contract intake processes; experience working with a procurement platform (Coupa or comparable)
- Excellent written communication skills — able to write clear, concise redlines and explain contract positions to non-legal stakeholders
- Strong organizational skills and a process orientation; someone who spots inefficiencies and fixes them rather than working around them
- Comfort navigating and learning new systems quickly; interest in contributing to platform migrations and tooling build-outs.
Nice to Have:
- Experience at a high-growth SaaS or multi-product technology company
- Familiarity with data privacy frameworks (GDPR, CCPA) as they apply to vendor contracts and data processing agreements
- Exposure to public company legal environments — familiarity with approval workflows and documentation standards
- JD or paralegal certificate
