About the Role

As Counsel, Product & Commercial, you’ll report to the General Counsel and serve as a key legal partner to Hello Heart’s product and commercial teams. You’ll advise on product development and negotiate agreements with health plans, employers, strategic partners, and vendors. We’re looking for a versatile, collaborative, and solutions-oriented attorney who thrives in a fast-paced environment and enjoys working across multiple areas at a growing digital health company.

Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including health plan and employer agreements, partnership agreements, data agreements, MSAs, BAAs, NDAs, and technology licensing agreements.
  • Partner with Product, Engineering, Clinical, Security, and Compliance teams to provide legal guidance on new products and features, including AI-enabled functionality, data use, product claims, member communications, and launch readiness.
  • Draft and advise on product-facing legal materials, including terms of service, user agreements, disclaimers, and in-product disclosures, to support product development and mitigate legal risk.
  • Advise on collaborative practice agreement requirements, management services organization regulatory structure and compliance, and fee-splitting and corporate practice of medicine (CPOM) restrictions applicable to Hello Heart's operations.
  • Collaborate with Compliance on matters involving HIPAA, FDA, FTC, CMS, and HHS OIG requirements, as needed in connection with product design and commercial arrangements.
  • Partner with internal stakeholders to build and maintain efficient legal processes, including playbooks, templates, and self-help workflows.
  • Provide day-to-day legal counseling to commercial and product teams, identifying and mitigating legal risks while advancing business objectives.
  • Independently manage assigned matters, exercise sound judgment regarding escalation, and provide clear, practical recommendations to business stakeholders.

Qualifications

  • Strong AI fluency, with the ability to use AI tools and agent-based workflows to improve legal research, risk assessment, drafting, process design, and cross-functional execution.
  • 5+ years of relevant legal experience, including meaningful in-house experience at a digital health or healthtech company. Law firm experience is a plus.
  • Experience working within a start-up, hyper-growth company, preferably within digital health or health tech.
  • Experience advising on product and technology matters, including legal risks and considerations related to data privacy, AI/ML, and intellectual property.
  • Track record of drafting and negotiating commercial agreements of varying complexity.
  • Experience with state corporate practice of medicine laws.
  • Familiarity with key regulatory frameworks in digital health, including HIPAA, FDA, FTC, and CMS, sufficient to identify issues requiring Compliance involvement.
  • Practical, risk-tolerant judgment that helps the company move quickly.
  • Highly organized, with the ability to handle and prioritize multiple matters simultaneously in a dynamic environment.
  • Team player and solutions-oriented, willing to pitch in across a wide variety of legal and business needs.
  • Growth-minded, with a demonstrated ability to rapidly absorb new information and receive feedback.
  • Excellent written and oral communication skills, effective in a distributed environment.
  • JD from an accredited U.S. law school; licensed and in good standing with a state bar.
  • Experience with government health programs (Medicare Advantage, Medicaid).
  • Exposure to telehealth regulatory issues.
  • Experience building legal processes, templates, or playbooks at a startup or high-growth company.
  • Familiarity with the federal Anti-Kickback Statute, Stark Law, or other fraud and abuse regulations applicable to digital health companies.

The US base salary range for this full-time position is $210,000.00 to $230,000.00. Salary ranges are determined by role and level. Compensation is determined by additional factors, including job-related skills, experience, and relevant education or training. Please note that the compensation details listed in US role postings reflect the annual salary and do not include equity or benefits.
