SUMMARY

The Contracts Administrator role provides substantive Administrator support to the Contracts Manager across a high-volume, multi-division contract portfolio spanning commercial, government (FAR/DFARS, GSA Schedule, state and federal cooperative agreements), and subcontract matters for all Sanborn divisions. The position handles contract intake, drafting from approved templates, redlining and document formatting, contract lifecycle management (CLM) administration, compliance tracking, and organizational support that allows the Contracts Manager to focus on higher-tier negotiation and legal strategy. This role carries limited, pre-approved negotiation authority over routine, low-risk contract terms as defined below; all other substantive positions are governed by the Contract Approval Matrix and Contract Negotiation Playbook and are escalated to the Contracts Manager.

MAJOR RESPONSIBILITES

  • Draft, review, and prepare a variety of agreements including government subcontracts, NDAs, teaming agreements, and service agreements from approved templates and playbook language.
  • Negotiate and finalize routine, low-risk terms that fall within pre-approved playbook positions and Contract Approval Matrix (e.g., standard NDA provisions, non-substantive administrative amendments, boilerplate conforming edits).
  • Format and process documentation redlines, prepare clean and tracked-changes versions, and maintain version control across negotiation rounds.
  • Support compliance with FAR, DFARS, and other applicable federal, state, and local procurement regulations across government subcontracts and prime flow-downs.
  • Support tracking of GSA Schedule reporting, subcontracting/ISR reporting, and awareness of ITAR, FCPA, and CMMC requirements as applicable to specific contracts.
  • Assist with maintaining certificates of insurance, W-9s, vendor compliance documents, and other conditions precedent to execution.
  • Monitor and track key dates, deliverables, renewal terms, notice windows, and option-exercise dates, documentation logs, contracts trackers and repository.
  • Administer the CLM system/repository: upload executed agreements, tag metadata, manage approval workflows, and ensure documents are indexed and searchable.
  • Conduct legal research on regulatory, contractual issues, internal metrics and prepare concise summaries and reports for the management and internal stakeholders.
  • Collaborate and escalate issues in advance with Finance, Procurement, Operations, and division stakeholders to ensure contract terms align with business objectives and inputs are captured accurately.
  • Route applicable contract documentation and agreements for internal review and signature (including SignNow/e-signature administration), confirm signatory authority, and archive fully executed originals.
  • Assist in developing and maintaining contract policies, procedures, and templates and assisting with internal reviews and audits.
  • Perform other related duties as assigned.

SUPERVISORY RESPONSIBILITIES

None. May oversee work efforts of subordinate staff in meeting business objectives.

QUALIFICATIONS

EDUCATION

Associate’s or Bachelor’s degree in Legal Studies, Business Administration, or a related field; paralegal certificate from an ABA-approved program preferred.

EXPERIENCE

  • 3+ years of experience in contract management or paralegal work, preferably in a government contracting environment.
  • Strong working knowledge of FAR/DFARS and federal procurement processes.
  • Working knowledge of key commercial contract provisions and their risk implications, including warranty, indemnification, limitation of liability, termination, and liquidated damages/penalty clauses — sufficient to recognize when a term falls inside versus outside a pre-approved playbook position.
  • Advanced proficiency in Microsoft Word and strong Excel and Microsoft Office Suite skills for tracking logs and reports.
  • Proficiency with contract management (CLM) systems.
  • Excellent written and verbal communication skills; strong attention to detail and organizational skills; demonstrated ability to manage a high volume of matters and deadlines with accuracy and discretion.
  • Preferred experience with GSA Schedules, IDIQ contracts, and task orders and compliance frameworks such as ITAR, FCPA, or CMMC.
  • Preferred notary Public commission.

CERTIFICATES, LICENSES, REGISTRATIONS

Paralegal certification preferred.

Salary Range: 50K - 65K annual (Salary range based on a 30 hour work week)
