About the Role:
HighLevel isn't your typical SaaS company — and this isn't your typical commercial counsel role. We do things differently here, from how we build our product to how we structure and negotiate transactions, and we need a commercial lawyer who thrives in that kind of environment. We're looking for someone who loves a challenge, brings creative energy to problem-solving, and knows how to enable fast, impactful results without cutting corners on quality.
As Senior Commercial Counsel, you will be the legal team's primary owner of HighLevel's commercial contract portfolio. You'll independently manage the full lifecycle of a wide range of agreements — from drafting and negotiation through execution — bringing the judgment and business acumen needed to make risk-calibrated decisions without requiring review on every deal. You'll oversee at least one contract manager, with the opportunity to grow that team as the company scales. You'll also manage and optimize HighLevel's Ironclad CLM workflows and serve as a key legal partner to stakeholders across the business, including procurement, finance, cybersecurity, product, and engineering. Occasional support for light M&A-type transactions rounds out the role.
The right candidate is a confident, resourceful attorney who sees every contract as part of a bigger picture — and who gets energized, not overwhelmed, by a high-volume, high-variety workload in a fast-moving company.
 
What You’ll Be Doing:
Commercial Contracts Ownership
 
-Independently draft, review, and negotiate a range of commercial agreements, including procurement contracts, integration partner agreements, enterprise customer agreements, influencer/endorsement agreements, SaaS subscriptions, MSAs, SOWs, NDAs, and DPAs
-Make risk-calibrated decisions on commercial terms with minimal escalation, exercising sound judgment on when to accept, push back on, or escalate contractual risk
-Develop and maintain negotiation playbooks with clearly defined fallback positions, risk thresholds, and approved alternative language
-Leverage creative deal structures and negotiation strategies that reflect HighLevel's approach to doing things differently while managing risk appropriately
 
Cross-Departmental Collaboration
 
-Cybersecurity: Consult closely with the Cybersecurity team on vendor security assessments and HighLevel's ability to agree to customers' cybersecurity commitments in commercial agreements
-Privacy: Work comfortably with privacy-related contract provisions (DPAs, data processing terms, cross-border transfer mechanisms), partnering with HighLevel's Privacy Counsel on complex or novel privacy issues
-Finance: Partner with Finance to ensure HighLevel is achieving optimal pricing structures and that commercial terms — including payment, liability, and economic provisions — are favorable to the business
-IP: Bring sufficient intellectual property expertise to identify and minimize IP risks in commercial agreements, including licensing, ownership, and indemnification provisions
-All Business Teams: Translate contractual obligations and risk into plain, non-legalese guidance for fast-moving teams across the organization — whether product, engineering, marketing, sales, or operations. Coach business partners on their commitments under relevant agreements in a way that drives clarity and informed decision-making without creating friction or slowing momentum.
 
Contract Team Oversight
 
-Supervise and mentor at least one contract manager, providing clear guidance on drafting standards, negotiation boundaries, and escalation triggers, with the opportunity to grow the team as HighLevel scales
-Conduct quality reviews of contract manager output and implement feedback loops that drive continuous improvement
-Serve as the escalation point for contracts that require legal judgment beyond the scope of the contract management team
 
Stakeholder Counseling
 
-Act as a trusted legal advisor to senior business leaders, translating complex contract terms and legal risk into clear, actionable business guidance
-Partner effectively with procurement and other non-legal teams to facilitate deal velocity without sacrificing quality
-Build credibility and trust across the organization so that business teams view legal as an accelerant, not a bottleneck
 
CLM & Process Optimization
 
-Own the legal strategy behind HighLevel's Ironclad CLM workflows — including operationalizing template content, playbook positions, and risk-based approval logic — and partner with Legal Operations to translate that strategy into optimized system configuration and workflows
-Identify and eliminate bottlenecks in commercial contracting processes to reduce cycle times
-Build scalable self-service tools and intake processes that enable business teams to move routine transactions forward efficiently
 
Template & Knowledge Management
 
-Maintain and continuously improve contract templates, clause libraries, and playbooks
-Create and maintain a knowledge repository of commercial legal precedents, approved positions, and lessons learned
-Develop training materials and resources for the contract management team and business stakeholders
 
Industry Awareness
 
-Stay current on developments in commercial contracting law, legal technology, and legal industry trends that may impact HighLevel's playbooks, risk positions, or deal strategies
-Proactively recommend updates to templates, fallback positions, and risk tolerance based on evolving legal and regulatory landscapes
 
Light M&A & Strategic Transactions Support
 
-Provide commercial legal support for light M&A-type transactions, including due diligence review of target company contracts, transition services agreements, and related commercial documentation
-Support deal execution on strategic investments, partnerships, or similar transactions as needed
 
What You’ll Bring:
-J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar
-8+ years of commercial transactions experience, with a strong preference for candidates who have spent meaningful time in-house at a technology or SaaS company
-Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight
-Proven track record of advising senior business leaders and non-legal stakeholders on contractual risk in a way that drives decisions forward
-Experience creating negotiation playbooks, clause libraries, and other scalable legal tools
-Experience working with procurement teams and non-lawyer business partners across functions, including finance, cybersecurity, and product/engineering
-Familiarity with contract lifecycle management platforms (Ironclad experience a plus), or a willingness to roll up your sleeves and become an Ironclad expert
-Working knowledge of intellectual property, data privacy, and cybersecurity concepts as they arise in commercial agreements
-Outstanding organizational skills with meticulous attention to detail and ability to manage a high-volume workload by prioritizing based on business impact
-Excellent written and verbal communication skills, with the ability to tailor your message for audiences ranging from engineers to executives
-Experience working on diverse, cross-functional legal teams
 
Preferred Qualifications (helpful but not required):
-Experience in the SaaS, marketing technology, or digital marketing industry
-Experience supporting M&A or other strategic transactions from a commercial contracts perspective
-Experience scaling contract operations in a high-growth environment
-Comfort working with globally distributed teams across time zones
-Experience managing or mentoring contract management professionals or legal support staff
