Why This Role Rocks

We’re looking for a senior technology lawyer to join Megaport's global Legal team, with a particular focus on supporting complex commercial arrangements and high-priority initiatives, with a focus on our high-growth compute division.

Reporting to and working closely with the Chief Legal Officer, as well as legal team leaders, this role will partner directly with Megaport's senior leadership on some of the company's most important commercial and strategic legal matters.

You’ll be brought into opportunities early and will help the business work through the commercial structure, risk allocation and path to execution.

The work will include major technology partnerships, strategic customer and supplier arrangements, infrastructure and capacity deals, new products and routes to market, complex global commercial arrangements and other strategic initiatives being driven by the CLO and senior leadership.

This isn't primarily a high-volume contract review role. We’re looking for someone who enjoys working on unusual and high-value matters: understanding what really matters, getting across the commercial drivers quickly, and helping senior stakeholders get deals done. What You'll Be Doing

  • Getting deals done – You’ll support complex and strategic transactions for data centre procurement and customer agreements, moving quickly through negotiation to execution.

  • Partner directly with the Chief Legal Officer, executive leadership and other senior stakeholders on high-priority legal matters, primarily focused on supporting our compute division.

  • Advise on the legal and commercial structure of strategic partnerships involving cloud, networking, data centres, infrastructure, compute, storage, software and other technology services.

  • Lead negotiations with sophisticated counterparties, including global technology companies, cloud providers, infrastructure providers, strategic partners, major enterprise customers and suppliers.

  • Advise on technology, data, privacy, intellectual property, cybersecurity and regulatory issues arising from strategic transactions.

  • Support the CLO, and work closely with legal team leaders, on special projects and strategic initiatives, including matters that may be commercially sensitive, confidential or require a high degree of judgement.

  • Act as a trusted senior member of the Legal team and sounding board for colleagues dealing with complex commercial issues.

  • Provide support to the broader global legal team during busy periods.

  • Look for opportunities to simplify how we work, improve our contracting approach and make it easier for the business to execute without compromising on the things that matter.

What You Bring

  • Significant post-qualification experience as a lawyer (between 7-10 years), ideally including a large part of this experience working in-house in a technology, data centre, cloud, telecommunications, infrastructure or SaaS environment.

  • Admission and good standing in at least one US jurisdiction.

  • Demonstrated experience leading complex, high-value or strategically important commercial transactions with sophisticated counterparties.

  • Strong technology transactions experience. You should be comfortable getting into the detail of technology and infrastructure arrangements and understanding how the underlying commercial and technical model affects the contract.

  • Experience working directly with C-suite executives and senior business leaders, with the confidence to challenge constructively, exercise judgement and provide a clear recommendation.

  • Exceptional commercial judgement. You understand the business’ risk appetite and know the difference between a legal issue that genuinely matters and one that can be managed pragmatically.

  • Excellent negotiation skills and the ability to hold your own across the table from experienced legal, commercial and executive teams at large global technology companies.

  • Excellent drafting skills, particularly where the transaction requires something bespoke rather than relying on a standard template.

  • A strong bias toward plain English, practical and commercial advice and solutions.

  • The ability to take an ambiguous problem, work out what needs to happen and drive it through to an outcome with a high degree of independence.

  • Intellectual curiosity and an interest in technology. You don't need to be an engineer, but you should want to understand how the products, infrastructure and commercial models you're advising on actually work.

  • Strong stakeholder instincts. You can build credibility quickly, read the room and adapt your communication style depending on whether you're talking with engineers, sales leaders, external lawyers or executives.

  • The ability to manage several significant matters simultaneously across different jurisdictions and time zones without losing sight of what is commercially important.

  • High levels of integrity, discretion and professional judgement.

It Would Be Great If You Also Have

  • Experience with cloud infrastructure, Network as a Service, telecommunications, data centres, AI infrastructure or adjacent technology sectors.

  • Experience negotiating with hyperscalers or other major global technology companies.

  • Experience with strategic alliances, joint go-to-market arrangements, capacity or infrastructure agreements, complex procurement arrangements or new product launches.

  • Exposure to corporate transactions, investments, acquisitions or other strategic corporate projects.

  • Experience working in a fast-growing, global or publicly listed technology company.

    You’ll be someone the CLO can rely on to take ownership of complex matters, work effectively with senior stakeholders and counterparties, and turn ambiguity into a clear path to execution.

    Most importantly, you’ll help Megaport pursue ambitious opportunities while making thoughtful decisions about risk – and you'll be known as a lawyer who helps the business get great deals done.
