The successful candidate for the Senior Director, Counsel, Legal TLM - Catalyze360 (Transactions) role will be a core member of Lilly’s legal team helping drive the company’s mission and serving as a trusted advisor and leader to the Catalyze360 team. The successful candidate will have the opportunity to make an immediate contribution to Lilly’s continuing growth and success. We are seeking a proven leader who is motivated, proactive, thrives in ambiguity, a self-starter and enjoys challenges.

Primary Responsibilities:

This position will provide legal support for the Lilly Gateway Labs and ExploR&D capabilities of Catalyze360 and will have the following responsibilities:

  • Lead the structuring, drafting, negotiating and counseling on transactions (including, licenses and collaborations, R&D services, equity investments, divestitures and other transactions).
  • Serve as both a legal and business partner in structuring and implementing new Catalyze 360 offerings and transaction models.
  • Develop agreement templates and playbooks as well as lead training for the Catalyze360 team.
  • Identify and resolve critical legal and business issues throughout the duration of the lifecycle of Catalyze360 agreements, including but not limited to, post-transaction alliance management support.
  • Partner with the Catalyze360 team and other key internal functional stakeholders to ensure strategic alignment and partner to grow the infrastructure of the scaling Catalyze360 organization.
  • Exercise excellent judgment to influence and drive decision-making.
  • Cultivate and contribute to the on-going development of a high-performance transactions legal team and cultivate a highly collaborative culture with effective relationships with colleagues in the legal department as well as other key functions.
  • Demonstrate a service-oriented approach to advising internal client groups.
  • Serve as a recognized source, for both senior management and other attorneys, of innovative ideas in complex areas of law, business, or technology, with respect to transactional matters.
Basic Requirements:
  • J.D. from an ABA-accredited law school.
  • Candidate must be admitted to the bar in at least one of the fifty states.
  • Minimum of six (6) years of legal experience related to the drafting, review and negotiation of sophisticated transactions either practicing as a member of a law firm in a relevant area of law or practicing at an in-house law department, or a combination of the two.
  • Significant experience drafting and negotiating complex transaction agreements specific to the pharmaceutical or life sciences industry is required (including CRO and CDMO agreements).
  • Qualified applicants must be authorized to work in the United States on a full-time basis. Lilly will not provide support for or sponsor work authorization and/or visas for this role.

  • Impeccable integrity and ability handle confidential and sensitive matters with discretion.
  • Assist other attorneys and stakeholders in resolving legal issues on cross-functional projects.
  • Develop long and short-term solutions that take into account the current and future needs of the business.
  • Lead the selection and oversight of outside counsel, control and appropriately handle legal costs.

Actual compensation will depend on a candidate’s education, experience, skills, and geographic location.  The anticipated wage for this position is

$177,000 - $259,600

Full-time equivalent employees also will be eligible for a company bonus (depending, in part, on company and individual performance).
