We are seeking a strategic and business-minded Senior Manager, Commercial Counsel to join our Legal team! This high-impact role will be instrumental in supporting our mission to transform kidney care through value-based innovation. You will lead complex payor contracting initiatives, support our EHR platform (Acumen), and help build the legal infrastructure needed to scale a fast-evolving healthcare business. What You’ll Do:
- Lead negotiation and drafting of commercial agreements with private payors, government entities, and provider organizations, with a focus on value-based care (VBC) models (e.g., shared savings, capitation, bundled payments).
- Serve as the primary legal advisor for EHR (Acumen) licensing, customization, and support agreements.
- Collaborate with cross-functional teams (e.g., finance, actuarial, product, privacy) to align contract terms with business and regulatory requirements.
- Partner with the Privacy Officer to assess and advise on product features, data-sharing arrangements, and interoperability initiatives, with a focus on HIPAA, 42 CFR Part 2, and emerging privacy frameworks.
- Develop and maintain playbooks, templates, and guidance to drive consistency and scalability in contracting processes.
- Advise cross-functional teams on legal risks, regulatory issues, and strategic decision-making.
What You'll Need:
- J.D. degree from an accredited institution; state bar passage and in good standing
- 5+ years of relevant legal experience, ideally advising hospitals, physician groups, managed care organizations, or other healthcare providers and/or payors.
- Strong drafting, analytical, research, organizational, and interpersonal skills.
- Transactional experience including payor and health system contracting, joint ventures, hospital-physician alignment, and management services.
- Solid understanding of financial structures in VBC, including shared risk models, capitated payments, and outcome-based reimbursement.
- Practical knowledge of healthcare regulatory frameworks (e.g., Stark Law, Anti-Kickback Statute, HIPAA, Corporate Practice of Medicine, Medicare/Medicaid reimbursement).
- Demonstrated experience delivering business-focused legal advice in a fast-paced, growth-oriented environment
- Proven ability to navigate ambiguity, both internally and externally, utilizing strong communication and problem-solving skills.
