Job Summary

The Senior Counsel – Commercial & Regulatory will provide strategic, practical legal guidance across a broad range of commercial matters. This role will primarily focus on negotiating, drafting, and managing complex commercial agreements while also advising the business on applicable regulatory requirements and compliance matters.

The ideal candidate is a business partner who can balance legal risk with commercial objectives, work effectively with senior business leaders, and independently manage sophisticated transactions in a fast-paced environment.


This role is remote within the following states: AZ, FL, GA, IL, KS, NC, NE, MI, MA, SD, TN, TX, WI, and WY. Candidates may reside in or relocate to any of these states. Relocation assistance will be provided.

Responsibilities
  • Draft, review, negotiate, and advise on a broad range of commercial agreements, including master service agreements, procurement contracts, purchase orders, statements of work, vendor and supplier agreements, licensing agreements, real estate agreements, SaaS and technology agreements, distribution and sales agreements, partnership and strategic alliance agreements, NDAs, and other complex commercial arrangements.
  • Lead negotiations on high-value and strategically important transactions, working closely with business, supply chain, finance, marketing, procurement, engineering, sales, technology, and other stakeholders.
  • Identify and mitigate legal and business risks while providing practical, solutions-oriented advice that supports business objectives.
  • Develop and maintain contract templates, playbooks, negotiation guidelines, and other legal resources to improve efficiency and consistency.
  • Advise business teams throughout the contract lifecycle, from initial structuring and negotiation through execution and ongoing performance.
  • Support strategic transactions and other corporate initiatives as needed.

Regulatory & Compliance

  • Partner with executive and business leaders to identify, document, and maintain compliance with federal, state, and local regulatory programs and economic incentives, including DOE initiatives, grants, tax incentives, Foreign Trade Zone operations, and cross-border logistics, transportation, customs, and trade matters supporting domestic and international growth.
  • Provide legal advice regarding laws, regulations, and industry requirements applicable to the company's products, services, and operations.
  • Monitor and assess emerging regulatory developments and advise relevant stakeholders regarding potential business impacts.
  • Partner with compliance, risk, privacy, information security, and other teams on regulatory and compliance initiatives.
  • Assist with developing and implementing policies, procedures, and controls designed to address regulatory requirements.
  • Support responses to regulatory inquiries, audits, investigations, and other interactions with governmental or regulatory authorities, as appropriate.
  • Identify regulatory considerations in commercial transactions and incorporate appropriate protections and requirements into agreements.

Business Partnership & Legal Operations

  • Serve as a trusted legal advisor to senior business leaders and cross-functional teams.B
  • Translate complex legal and regulatory issues into clear, actionable business guidance.
  • Exercise sound judgment in assessing risk and determining when issues require escalation.
  • Collaborate effectively across Legal and other corporate functions to ensure consistent and coordinated advice.
  • Contribute to legal department initiatives focused on process improvement, technology, knowledge management, and operational efficiency.
Qualifications

Minimum Qualifications:

  • J.D. from an accredited law school and admission to at least one U.S. state bar in good standing.
  • Typically, 6+ years of relevant legal experience, with significant experience handling sophisticated commercial transactions.
  • Strong experience drafting and negotiating complex commercial agreements.
  • Demonstrated ability to independently manage transactions and provide practical legal advice to business stakeholders.
  • Experience advising on regulatory, compliance, or industry-specific legal matters.
  • Strong understanding of contract law and commercial risk allocation.
  • Excellent negotiation, communication, analytical, and problem-solving skills.
  • Ability to manage multiple priorities and work effectively in a fast-paced, business-oriented environment.
  • Strong business judgment and the ability to balance legal risk with commercial priorities.

Preferred Qualifications:

  • In-house legal experience, particularly within a sophisticated commercial organization.
  • Experience supporting technology, SaaS, financial services, healthcare, manufacturing, energy, or another highly regulated industry.
  • Experience working directly with senior executives and business leadership.
  • Familiarity with privacy, data protection, consumer protection, advertising, licensing, or other regulatory frameworks relevant to the company's business.
  • Experience developing contract playbooks, templates, or legal processes.
  • Prior experience working with regulatory agencies or responding to regulatory inquiries is a plus.
