About the role
Visby is seeking an experienced Senior Contracts Manager to join its Legal team. You will use your excellent organizational skills in managing and leading the contract management function, and have a lead role in managing the day-to-day flow of contracts, including review, drafting of edits, drafting updates to Visby pre-approved templates, and approval of various contract types. The role also is key to improving the day-to-day efficiency and effectiveness of the Legal team and the Company by improving contract processes, designing workflows, maintaining contract records, and scaling the contract management function as Visby grows.
How You'll Make An Impact
- Designing, building and improving processes, playbooks and automation across the contract management function; scaling and creating efficiencies for the legal function including spearheading automations and self-serve tools (for cross-functional legal-team clients)
- Identifying opportunities to improve contract processes and work with Legal and cross-functional teams to implement improvements and efficiencies
- Leading all front-end review of third-party contract templates or edits to Visby contracts, as well as Visby employee requests for contracts
- Managing and updating ongoing contract records
- Managing and updating IP records (patent and trademark filings); track and calendar deadlines using automated processes
- Maintaining a legal team calendar; project manage various legal team initiatives
- Drafting and maintaining template/form documents and contract clauses
- Reviewing contractual edits from third parties, or third-party contract templates, and draft edits to conform to Visby Legal requirements and limitations, and provide helpful comments or communications related to such review and/or drafting
- Negotiating contract terms with support from your Legal supervisor
- Working with cross-functional teams as an ambassador of the legal function; support internal controls and compliance with company policies
- Advising internal teams of company processes and contract status and lead training on new contracts management tools and workflows as necessary
- Review corporate documents, outgoing third-party communications (PRC Committee support), and provide advice or proposed edits as necessary
- Integrating contracts into the company’s contract management tools
On Your First Day We'll Expect You to Have
- 6+ years of relevant experience working with in-house corporate legal departments
- Bachelor’s degree or equivalent is required
- Paralegal certification not required but welcomed
- Experience in the medical device, pharmaceutical, or bio sciences industries strongly preferred
- Substantial experience with the review and drafting/negotiating of many different types of contracts including, but not limited to, consulting agreements, services agreements, non-disclosure agreements, supply agreements, customer purchase agreements, distribution agreements, leases, general letter agreements, master service agreements, along with their related exhibits, addenda, statements of work, and amendments t. Must have experience working with contracts management software
- Excellent judgment, discretion, logical reasoning and interpersonal skills
- Strong Microsoft Office skills including Word, Excel and PowerPoint
- G-Suite skills including Gmail, G-Drive, Google Docs, etc., is preferred
- Team-player with the ability to work collaboratively in a cross-functional role
- Keen attention to detail, with an ability to spot errors or improvements to contracts or other documents
- Substantial experience in the review and drafting of contracts, including knowledge of key contractual provisions, and related legal risks
- Ability to thrive in a fast-paced environment, utilizing effective organizational skills to prioritize and manage deadlines for multiple simultaneous projects for multiple stakeholders
- Excellent written and oral communication skills
Salary Range
- $125,000 - $150,000 (salary range for candidates based in San Jose, CA)
- Compensation for the role is based on geographical location.
- Compensation also depends on a number of factors including a candidate’s qualifications, skills, competencies and experience and may fall outside of the range shown.
