As the Senior Commercial Counsel II, you’ll join a dynamic legal team working at the cutting edge of technology and healthcare. You’ll lead drafting and negotiation across a wide variety of commercial agreements, with primary ownership of Ro’s contracts queue. In this role, you’ll partner closely with teams across the business and serve as a trusted advisor who balances growth with risk and keeps Ro moving forward. You’ll operate autonomously in a fast-paced environment, gaining visibility across Ro’s operations and helping to shape how we contract as a business. You’ll work directly with leadership to understand our business priorities, and you’ll advance deals quickly, strategically, and with curiosity about the “why” behind every contract.
What You'll Do:
- Own the legal review and negotiation of Ro’s commercial contracts, including marketing/advertising contracts, SaaS and license agreements, master services agreements, NDAs, supply chain and logistics agreements, commercial leases, and healthcare partnerships.
- Prioritize and manage the contracts queue, driving deals forward efficiently while protecting Ro’s business interests.
- Collaborate cross-functionally with business partners from across the business, including growth and marketing, research and development, supply chain, and data to align contracting strategy with business objectives.
- Provide independent, risk-based guidance that empowers stakeholders to make informed business decisions.
- Improve processes by identifying ways to streamline contracting workflows and forms.
- Manage outside counsel when needed, ensuring cost-effective, practical advice.
- Escalate thoughtfully, ensuring leadership is looped in on material risk decisions.
What You’ll Bring to the Team:
- JD and active bar admission, with at least 8 years of relevant experience (including 3+ years in a contracts-focused in-house role).
- Significant experience drafting, reviewing, and negotiating commercial contracts.
- Comfort working independently in a high-volume, fast-paced environment, with excellent organizational skills.
- Ability to offer trusted risk-based, business-minded guidance with minimal oversight.
- Strong written and verbal communication skills; you can explain risk clearly to non-lawyers.
- Curiosity about the business and the business objectives behind each contract.
- Experience in healthcare, technology, or high-growth companies strongly preferred.
- Familiarity with data privacy laws, cybersecurity, and emerging issues in AI strongly preferred.

The target base salary for this position ranges from $206,100 - $247,500, in addition to a competitive equity and benefits package (as applicable). When determining compensation, we analyze and carefully consider several factors, including location, job-related knowledge, skills and experience. These considerations may cause your compensation to vary.
Ro recognizes the power of in-person collaboration, while supporting the flexibility to work anywhere in the United States. For our Ro’ers in the tri-state (NY) area, you will join us at HQ on Tuesdays and Thursdays. For those outside of the tri-state area, you will be able to join in-person collaborations throughout the year (i.e., during team on-sites).
