Description

ProArch is seeking an experienced In-House Counsel to join our legal team. In this role, you will provide expert legal guidance and support on a range of matters including corporate governance, contract negotiation, compliance, and risk management. You will work closely with various departments across the company to ensure that all legal obligations are met and to support the business in achieving its strategic goals.

Key Responsibilities:

Contract lifecycle management across all geos:

1. Customer contracts/NDA’s/Scope of Work (SOW’s)

  • Employment contracts
  • Vendor contracts
  • Contractor related contracts
  • Any other contracts - Support different business units/departments of ProArch group in various geos, with respect to contracts, starting with proposals going out to customers in the form of SOW’s and until storing the signed contracts in appropriate repositories for retrieval as and when required by identified person(s). - Change management/monitoring to be implemented. - Continuous automation/simplification/standardization of processes for quicker response times and faster turn-around. - Ensure that all local and international laws and compliances are always met. - Show ownership on ensuring that risks of ProArch are minimized/removed. Work with customers or vendors or partners as the situation requires.

2. Opinion and support to ensuring Compliances with local laws, wherever ProArch operates.

a. Sales tax/VAT/GST laws

b. Employment/Labor laws

c. Tax laws

d. corporate law

Where there is unfamiliarity, expect the person to get familiar and provide the necessary support.

3. Coordinate with external counsel(s) in different geos, as required.

4. Risk projections and mitigation.

a. supports the CFO in managing multiple types of risks, be it customer risks, lawsuit risks, compliance risks etc.

b. Customer negotiation as required while managing potential risks.

5. Other special projects that may come up from time to time

Requirements
  • 7+ years of experience in a corporate or in-house legal role with a Legal Qualification
  • Excellent negotiation, drafting, and analytical skills
  • Strong interpersonal and communication skills
  • Ability to work independently as well as part of a team
  • Detail-oriented with strong organizational skills
  • Experience in the technology or software industry is a plus
