We're profitable, revenue-fueled, and scaling fast—154 MW operating today, 250+ MW next year, and targeting an IPO in our future. As Corporate Counsel, you'll be the engine behind our commercial contracts and deal execution, ensuring we move fast without breaking things.
This is a hands-on, high-volume role. You'll own the full lifecycle of our commercial agreements—from customer contracts and vendor agreements to power purchase agreements and real estate deals. You'll work directly with Sales, Operations, and Supply Chain to structure deals that protect us while enabling the speed that differentiates Giga. When litigation arises, you'll manage outside counsel and develop strategy to resolve disputes efficiently.

Where You'll WorkRemote. Regular travel to our operational sites and global offices for offsites and meetings.
ResponsibilitiesCommercial Contracts (Primary Focus)
- Draft, negotiate, and close customer contracts across our product lines (transformers, switchboards, substations, modular data centers)
- Structure and negotiate power purchase agreements and site development deals
- Draft and negotiate vendor agreements with international manufacturing partners in China and India
- Structure real estate transactions including land acquisitions, easements, and development agreements
- Develop and maintain contract templates, playbooks, and fallback positions to accelerate deal velocity
- Partner with Sales and Customer Success to support commercial negotiations and resolve contract disputes
- Advise on supply chain agreements and international procurement matters
Litigation Management
- Oversee litigation strategy and manage relationships with outside litigation counsel
- Assess claims, develop case strategy, and drive toward efficient resolution
- Handle pre-litigation disputes and demand responses
- Manage discovery, settlement negotiations, and trial preparation as needed
General Legal Support
- Advise cross-functional teams on legal risk and commercial strategy
- Support regulatory compliance across energy, environmental, and manufacturing regulations
- Assist with M&A due diligence and transaction support as needed
- Contribute to corporate governance and IPO readiness initiatives
- JD from accredited law school; active bar membership in good standing
- 5–8 years of legal experience with a strong foundation in commercial contracts
- Experience at a law firm and/or in-house legal team at a growth-stage company
- Track record negotiating complex, high-value commercial agreements
- Hands-on operator who can draft, redline, and close contracts independently
- Strong business judgment—know when to say yes, no, and "yes if"
- Ability to manage multiple deals simultaneously in a fast-paced environment
- Excellent communication skills and ability to translate legal concepts for non-legal audiences
- Experience managing outside counsel and litigation matters
- Infrastructure, energy, data center, or manufacturing sector experience
- Experience with power purchase agreements or real estate transactions
- Background with international supply chain and vendor agreements
- Familiarity with IPO preparation or public company compliance
- Experience with project finance or power market regulations
