About the Role
The Corporate Counsel is a junior, highly execution-oriented role focused on supporting the Company’s core commercial and revenue-generating activities. This position is primarily responsible for day-to-day transactional legal support, including reviewing, drafting, and negotiating commercial agreements related to sales, third-party marketplace offerings, suppliers, and related business operations.
The role is heavily hands-on and task-driven, providing direct support to sales, business development, procurement, and partner teams under the guidance of more senior legal team members. The successful candidate will spend the majority of their time managing contract workflows, turning drafts, addressing standard legal issues, and keeping deals moving forward efficiently. This is an individual contributor role for someone who enjoys being a “doer” and taking ownership of execution.
Relevant experience in commercial contracts, software licensing, professional services agreements, intellectual property provisions, hardware supply arrangements, and basic data privacy concepts is required. The role also requires comfort working in a dynamic environment with challenging timelines.
Essential Responsibilities
- Draft, review, and negotiate a high volume of commercial agreements, including SaaS agreements, professional services agreements, NDAs, vendor agreements, distribution and marketing arrangements, and marketplace-related contracts
- Support sales and business teams by providing timely, practical legal guidance on standard commercial issues
- Manage contract processes from intake through execution, including redlines, approvals, and coordination with internal stakeholders
- Identify issues for escalation to senior legal team members when appropriate
- Assist with maintaining and updating contract templates, clause libraries, and internal guidance
- Support cross-functional teams, including Sales, PX, Product, Finance, and Operations on routine legal matters
- Help ensure compliance with internal policies and basic privacy and data protection requirements
Education and Experience
- Juris Doctor (JD) degree from an accredited law school and active bar admission in at least one U.S. jurisdiction
- Three to five (3–5) years of legal experience, preferably a mix of law firm and in-house experience at a technology or SaaS company
- Demonstrated experience supporting enterprise sales contracts, professional services agreements, software licensing, and vendor contracts
- Familiarity with contract lifecycle management processes and working from standard templates and playbooks
- Strong drafting and issue-spotting skills, with the ability to handle repetitive and detail-oriented work efficiently
- Practical, business-friendly mindset and willingness to take direction and feedback
- Strong organizational skills and ability to manage multiple matters simultaneously in a fast-paced environment
Collaboration & Working Style
This role requires close collaboration with colleagues across functions, time zones, and geographies. The successful candidate must be comfortable operating as a junior member of the legal team who executes consistently, communicates clearly, and escalates appropriately. The position is intended to be an individual contributor role, and success will be measured by responsiveness, accuracy, and the ability to move work forward efficiently.
