Drata is looking for a Corporate Counsel to join its Legal Department reporting to the SVP, Legal with a heavy focus on commercial matters (sales and procurement). You will provide legal support to stakeholders at all levels while planning and implementing operational processes, platforms and tools to scale and shape the legal function. Areas of focus will also include labor/employment, privacy, IP, corporate governance and other traditional legal matters. This is a remote role.

What you’ll do:
- Draft, review and negotiate a variety of agreements including but not limited to commercial transactions, SAs, DPAs, NDAs, and other commercial matters with domestic and international parties including clients, partners, and vendors
- Assist in management and maintenance of company’s standard contract templates that streamline the contracting process, reduce friction with customer, while mitigating risk for the company
- Ensure compliance with security and privacy regulations and standards, securities regulations, corporate governance requirements and other relevant legal and statutory requirements
- Help develop plans for managing legal matters, including activities to be performed in house or through outside counsel, to efficiently and effectively manage the company’s legal activities
- Assist with general corporate matters, including corporate organization, securities compliance, general transaction support, employment law, regulatory matters, compliance and financial matters
- Proactively address evolving regulatory and governance compliance environment, including changes in laws, regulations, regulatory focus areas and industry best practices
- Advise on day to day employment law matters and proactively set up training and other employment compliance related matters.
- Provide oversight and leadership for all legal needs of the business, advising across business function
Experience and Qualifications:
- 5+ years of experience (in house or law firm), 3+ years of relevant SaaS experience
- J.D. degree from an accredited law school licensed to practice law in a U.S. state
- Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues while considering many non-legal variables, such as culture, brand, communications, government relations, tax, revenue recognition, insurance, finance and other functional areas.
- Experience negotiating B2B SaaS, specifically in software security and compliance
- Experience working in a start-up atmosphere is highly desirable
- Understanding or and/or experience with start-up specific milestones such as fundraising rounds, diligence procedures, ARR, etc. is desired
- Prior Experience building out and leading in-house legal teams that are committed to strategic differentiation and high quality execution
- Proficient with G-Suite (Gmail, Google Docs, etc), DocuSign, Slack
- Working knowledge of scalable a contract database solution, and general working knowledge of finance invoicing systems, and project management software
- High technical proficiency and critical thinking skills to ensure we're thoughtfully challenging ourselves in the design of our internal systems
- Product counseling, privacy, and cybersecurity experience or interest is a plus

This role will receive a competitive base salary, benefits, and stock, typically in the form of Restricted Stock Units (RSUs). The applicable salary range for each US-based role is based on where the employee works and is aligned to one of 3 tiers based on the cost of labor for that geographic area. The expected salary ranges for this role are below, subject to change.
Tier 1: $180,200 - $222,600
Tier 2: $162,350 - $200,550
Tier 3: $144,500 - $178,500
