As Corporate Counsel, you will join a dynamic legal team as the second corporate attorney, reporting to the Assistant General Counsel, Corporate & Commercial. This role offers broad responsibility across corporate governance, securities, and transactional matters as Human Interest continues to scale. You will support governance for Human Interest Inc. and its subsidiaries, manage board and stockholder actions, oversee cap table and equity matters, and partner closely with Finance and People teams on executive compensation and equity administration. The position also involves supporting corporate finance activities, IPO readiness, and managing outside counsel on complex transactions.

You will lead the negotiation and execution of commercial agreements, support M&A and strategic transactions, and help build scalable legal processes and playbooks. The scope of the role will evolve alongside the company’s growth, offering significant opportunity to shape how corporate and transactional work is executed.

The ideal candidate holds a J.D. from an ABA-accredited law school, is an active member of at least one U.S. state bar, and brings 4+ years of corporate and securities experience, including in-house work at a high-growth company. Experience with equity administration, corporate governance for multi-entity structures, and a range of sophisticated financing arrangements is essential. Familiarity with public company reporting, regulated industries, and the integration of AI tools into legal operations is highly valued.
