Position Overview:

Tract is seeking a Corporate Counsel, Energy that will be stationed at Tract’s headquarters in Denver, Colorado or one of its hub locations in Seattle, WA or Northern VA.  The successful candidate will report directly to the General Counsel in the Company’s legal department.  The position is a highly visible role that includes hands-on, frontline work across the organization and externally in the execution of large, industrial land projects, utility interconnection, and energy supply transactions nationwide. 

 

Responsibilities:

Summary of general areas of work:

 

Evaluating investment opportunities; structuring strategic transactions including energy supply; managing outside counsel for energy regulatory and market strategy and local utility commission engagements, supporting project development and associated procurement agreements; and working on corporate, infrastructure, vendor and other Company transactional and regulatory matters. 

 

The successful candidate will be a self-starter, comfortable working in a fast-paced, entrepreneurial, team-friendly environment with limited day-to-day oversight.

 

Specific responsibilities include:

 

  • Identifying and evaluating legal issues and risk in order to communicate legal and business recommendations to team members on all matters relative to Tract’s business and from an energy perspective
  • Analyzing and advising on legal issues and risk associated with Company’s utility and energy supply transactions from site selection through development and construction
  • Responsible for overseeing strategic deals and negotiating with development and utility partners and other stakeholders
  • Working with real estate, entitlement, energy, development and construction teams on contracting, utility and construction matters and in coordination with local counsel
  • Interacting with vendors, suppliers, energy developers, electric utilities and local utility commissions in a manner that projects a positive image of Company
  • Drafting, negotiating and preparing contracts in all phases of Company transactions including utility interconnection, energy supply, vendor and equipment procurement, and including complex contracts
  • Managing corporate entity filings
  • Drafting and preparing corporate entity documentation
  • Advising on process improvements in support of business objectives
  • Managing outside counsel for local and regulatory issues
  • Collaborating in a highly matrixed environment


Baseline Requirements:

 

Education/Accreditations: JD required from an ABA accredited law school.  Admitted to and in good standing with a state bar.

 

Experience: 4+ years of in-depth energy and commercial transactional knowledge with understanding of utility interconnection, energy supply, regulatory proceedings, project development, construction, corporate governance, and complex contracts.  Preferably with a combination of law firm and in-house experience. 

 

Travel: This position requires time with the market teams and, therefore, may require travel to Tract markets.

 

Required Expertise and Skills:

 

  • Demonstrated success with all aspects of electric utility interconnection and energy supply transactions across various US markets
  • Comprehensive knowledge of electric utility interconnection and energy supply, regulatory proceedings, infrastructure development, and complex transactions language 
  • Extensive experience drafting, reviewing and negotiating energy supply and electric utility agreements required for infrastructure development
  • Comprehensive knowledge of corporate governance
  • Experience drafting and preparing corporate entity documentation
  • Extensive experience in drafting, reviewing and negotiating complex contracts
  • Responsible, ethical and collaborative mindset with a can-do attitude and pride in work product
  • Ability to work closely with cross-functional teams of internal and external resources to manage projects and teams to successful and predictable conclusions
  • Demonstrated project management skills, preferably connected to sales, project development, and utilities
  • Ability to problem-solve, leveraging independent analysis, local relationships, corporate resources and executive support
  • Detail-oriented to support data-driven analysis and decision-making

Expected Salary Range:

$300,000-$375,000 plus bonus
