The Legal Counsel is central to the cross-functional operations of the company. The person provides legal support on corporate legal, tax, finance, treasury, risk management, litigation and intellectual property related matters and colleagues globally. The Legal Counsel is responsible for corporate legal support on various legal entities around the globe, with emphasis on US. He/she organizes meetings of Nokia of America Corporation, prepares briefing materials collaboratively with Nokia stakeholders and drafts legal documents such as meeting minutes, PoAs and officers' certificates.
Responsibilities- Manage all legal entities’ filings in all states where these entities are qualified to do business.
- Manage all delegations of authority in the US; identify appropriate signatories and approval processes in line with established guidelines.
- Support federal filings as may be required
- Support large, varied corporate and strategic transactions, including mergers and acquisitions, divestitures, capitalizations and dividends, involving stakeholders throughout the company.
- Support drafting and execution of intercompany agreements
You have:
- Legally qualified in the United States.
- Business fluent in English.
- Minimum of 5 years PQE predominantly in corporate legal.
- Experience may be in a law firm or in house position, or any combination.
- Ability to think strategically and to serve as a trusted business partner with senior business leaders.
- Can develop relevant and creative solutions to meet current and evolving business needs.
It would be nice if you also have:
Prior experience working in a global or telecommunication firm.
