HERE’S WHAT THE JOB REALLY LOOKS LIKE

The Contracts Team is a division of the Corporate Legal Department and is responsible for facilitating the overall contracting process, including review, drafting, negotiation, approval, execution and data management related to all client and procurement contracts and legal documents executed by the organization. The Specialist is integral to this process and performs or assists with the following essential job duties. 

HOW YOU’LL MAKE AN IMPACT

Perform Initial review of contract requests and coordinate with internal contract requesters to ensure complete and accurate submission/documentation.

WHAT YOU’LL ACTUALLY DO

  • Review contract documents to verify compliance with current standards or identify deviations and coordinate with designated subject matter expert to obtain input/approvals.
  • Draft and/or revise, with legal oversight and approval, legal/contract documents such as MSAs, SOWs and amendments.
  • Assist with client discussions, redlines and negotiations.
  • Secure final leadership approvals and facilitates execution.
  • Assist with population and maintenance of data repository.
  • Perform other contract review and administration function.
  • Assist with special contracts and/or legal team projects.
  • Other duties, as assigned
Qualifications

WHAT’LL SET YOU UP FOR SUCCESS

  • Bachelor's Degree or equivalent work experience required: Business Administration, Contracts, Finance, Legal Studies, Paralegal or related field.
  • 3–5 years of experience in structured finance, consumer loan servicing, corporate trust work, and securitization. Experience should include drafting and reviewing documents for: (1) consumer Asset Backed Securities, (2) leveraged finance and asset servicing arrangements, and (3) third party servicing of consumer loan portfolios. Clients typically include investment banks, regional banks, credit unions, finance companies, fintechs, and other consumer asset originators or purchasers.
  • 1–2 years of experience in contracts administration or management, including: (1) reviewing, drafting/redlining, and analyzing legal or contractual documents, and (2) using contract lifecycle management (CLM) tools.
  • Strong analytical, critical thinking and problem-solving skills: ability to review and navigate legal documents efficiently to 1) identify legal and operational terms that deviate from established standards and facilitate appropriate departmental reviews/inputs/approvals.
  • Strong communication skills: ability to effectively and professionally communicate with internal and external stakeholders, both verbally and in writing.
  • Additional Skills: 

-Ability to work autonomously at times with little oversight of daily functions. 

-Recognizing when to solicit help and feedback from team colleagues, team lead and manager. 

-Strategically collaborate and determine appropriate solutions to complex contractual relationships/requirements.
