About the

The primary purpose of this attorney role is to work effectively with internal stakeholders and clients to provide counsel and guidance on a broad range of contract-related legal matters. This role will focus on drafting, reviewing, and negotiating a variety of complex contracts, including intellectual property (IP) agreements, vendor contracts, business customer contracts, ISDAs, ACAs, licensing agreements, and other critical documentation. Additionally, the attorney may support M&A-related legal work, including due diligence, drafting transaction documents, and managing post-closing integration matters.

The Tidal Legal team delivers high-quality, value-added legal counsel and fosters strong relationships with internal business teams, external clients, and third-party firms. This position collaborates closely with these stakeholders to ensure contracts are efficiently prepared, reviewed, and executed in alignment with business needs and legal requirements while also contributing to broader transactional initiatives such as mergers and acquisitions.

What you'll do

  • Provide legal counsel and guidance on all contract-related matters relevant to SEC-registered investment advisers, investment companies, fund administration firms, and other business operations.
  • Draft, review, and negotiate a variety of contracts, including:
    • Intellectual Property (IP) agreements, such as licensing agreements, technology transfer agreements, and non-disclosure agreements (NDAs).
    • Vendor contracts related to goods and services procurement.
    • Business customer contracts, such as master service agreements (MSAs) and other commercial agreements.
    • ISDAs, ACAs, and other financial and operational agreements.
  • Assist in mergers and acquisitions (M&A) work, including conducting legal due diligence, preparing transaction documents, and coordinating with internal teams on post-closing matters.
  • Develop and refine contract templates, negotiation strategies, and processes to improve efficiency and consistency.
  • Ensure contracts comply with applicable laws, regulations, and organizational policies.
  • Collaborate with internal stakeholders, external clients, and third-party firms to identify and mitigate legal risks associated with contractual agreements.
  • Perform miscellaneous job-related duties as assigned.

Qualifications

  • Minimum four years’ experience as an attorney specializing in contract law, transactional law, or similar fields.
  • Experience in M&A transactions, including due diligence and transactional document preparation, is preferred.
  • A J.D. and membership (or anticipated membership) in the bar of at least one state are required.
  • Experience at a major U.S. law firm or with an in-house legal department.
  • Strong proficiency in drafting and negotiating a wide variety of contracts, including IP-related agreements, vendor contracts, and commercial agreements.
  • Excellent written communication skills, including drafting documents using “plain English” principles.
  • Strong oral communication skills for effective interaction with clients and internal stakeholders.
  • Proven client service skills with an aptitude for understanding clients’ legal and business needs.
  • Ability to organize and prioritize work, assisting in the coordination of the work of other team members.
  • Ability to multi-task while maintaining careful attention to detail.
  • Ability to work with a sense of urgency to meet deadlines and address competing priorities.
