The role

Nebius is seeking a highly skilled and motivated Commercial Legal Counsel to join our US legal team. This role is best suited for an attorney with strong experience negotiating and managing complex commercial agreements, particularly in the technology, AI, and digital infrastructure sectors.

The ideal candidate is detail-oriented, business-minded, and comfortable working in a fast-paced environment across multiple parallel projects. This attorney will play a key role in supporting Nebius’s commercial operations in the US by drafting, negotiating, and advising on a broad range of commercial contracts and technology-related agreements.

Your responsibilities will include: 

  • Draft, review, and negotiate a wide range of commercial agreements, including:
    • Technology and AI-related agreements
    • Software licensing and SaaS agreements
    • Commercial services agreements
    • Vendor, procurement, and supplier contracts
    • Strategic partnership and collaboration agreements
  • Provide legal support for complex commercial transactions and strategic business initiatives.
  • Partner closely with business, product, procurement, and operational teams to deliver practical, business-oriented legal advice.
  • Ensure company activities comply with applicable US laws, regulations, and internal policies.
  • Develop and improve contract templates, internal processes, and playbooks for the US legal function.
  • Manage external counsel where needed and coordinate legal workstreams across multiple ongoing projects.
  • Identify legal risks in commercial transactions and help implement pragmatic mitigation strategies.
  • Support cross-functional initiatives related to technology, AI deployment, and commercial operations.

We expect you to have: 

  • J.D. degree from an accredited US law school and admission to practice in at least one US state.
  • Approximately 3-7 years of relevant legal experience after bar admission.
  • Prior in-house legal experience is required; law firm experience is a strong plus.
  • Significant hands-on experience drafting and negotiating commercial contracts, particularly in technology, AI, SaaS, or other technology-driven industries.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple complex matters simultaneously.
  • Excellent communication skills and strong attention to detail.
  • Ability to work independently in a fast-paced and dynamic environment.
