Commercial Counsel

About Andromeda
Andromeda Cluster was founded by Nat Friedman and Daniel Gross to give early-stage startups access to the kind of scaled AI infrastructure once reserved only for hyperscalers.
We began with a single managed cluster — but it filled almost instantly. Since then, we've been quietly building the systems, network, and orchestration layer that makes the world's AI infrastructure more accessible.
Today, Andromeda works with leading AI labs, data centers, and cloud providers to deliver compute when and where it's needed most. Our platform routes training and inference jobs across global supply, unlocking flexibility and efficiency in one of the fastest-growing markets on earth.
Our long-term vision is to build the liquidity layer for global AI compute. We are expanding to new frontiers to find the brightest that work in AI infrastructure, research and engineering.
The Role
We're hiring our second lawyer — and the first member of the legal team to report to our General Counsel. This is a rare seat for a top-firm associate, or a lawyer with early in-house experience, ready to take on real ownership from day one. You'll negotiate revenue-critical deals from the start, develop judgment across the full range of an in-house legal function, and work closely with the GC on the matters that move the business.
Just as important, we are building the legal function for a new era of law. We adopt modern tools aggressively, and we build our own where they don't yet exist. We expect this role to help lead that effort. You don't need to be an expert in AI today, but you should be curious about it and excited to work in an AI-native environment.
This role is ideal for someone energized by a fast-moving environment, drawn to building, and motivated to help the business grow.
What You'll Do
Own Commercial Work
● Draft, negotiate, and help close the revenue-critical commercial agreements at the center of our business
● Take ownership of complex, non-standard deals with demanding requirements and meaningful stakes
● Work through key commercial terms and balance sound protection with the pace required by the business
Build the Function
● Help evolve our templates, playbooks, and risk frameworks as the business model continues to develop
● Help build and refine the modern, AI-enabled legal tooling that lets a small team operate at scale — central to how we work
● Help design and operate the lightweight approval workflows and judgment frameworks appropriate for a high-velocity company
● Learn to use outside counsel surgically while owning the core work in-house
Range Across the Stack
● Support corporate governance, board matters, and entity maintenance
● Gain exposure to compliance as it touches the real business — data privacy and security, export controls, and emerging AI-related regulatory questions
● Pick up employment, IP, and vendor matters as they arise
● Support fundraising, M&A, and strategic transactions as needed
The point of this role is breadth. You'll touch nearly every part of what an in-house legal function does.
Partner Across the Business
● Be a responsive, trusted partner to sales, finance, product, and operations
● Translate legal concepts for non-legal stakeholders clearly and pragmatically, without unnecessary friction
● Help the business move quickly while keeping risk thoughtfully managed
What We're Looking For
Experience: 3–5 years of legal experience, including training at a top-tier law firm
Background: A corporate or commercial background is ideal, especially experience advising startups or technology companies. We're also open to strong candidates from other backgrounds who can adapt quickly
Credentials: J.D. from an accredited law school and active bar membership in at least one U.S. state
Foundation: A foundation in commercial contracts and corporate matters, or the ability to develop one quickly
Drive: Highly motivated and quick to learn, with a strong appetite for feedback and professional growth
AI-native mindset: Openness to an AI-native way of working — curiosity about how AI and modern tools are reshaping legal practice, and enthusiasm to help build it. No technical proficiency required
Judgment: Excellent judgment and comfort making decisions with imperfect information
Orientation: Business-minded; you focus on enabling the business while managing risk
Ambition: An interest in building a broad, generalist in-house practice over time
Strong Candidates May Have
● Exposure to infrastructure, cloud, or marketplace business models
● Experience at early-stage or hypergrowth companies where deal velocity was critical
● Comfort with complex, SLA-driven, or otherwise non-standard commercial agreements
● Hands-on experience with AI or legal-tech tools, or a track record of adopting new technology to work more effectively
