Who we are looking forRe:Build Manufacturing is seeking a business-minded, highly skilled Commercial Counsel to join our growing Legal team. This role operates at the intersection of engineering, manufacturing, and advanced technology, supporting a portfolio of innovative industrial businesses. You will thrive in a fast-paced environment where you’re a hands-on partner to leadership, helping structure, negotiate, and optimize the commercial arrangements that power our growth.
What you get to do
In this role, you’ll be a key legal advisor across the enterprise, responsible for drafting, negotiating, and guiding a broad range of commercial and strategic transactions, including:
Commercial & Engineering Contracts- Draft, review, and negotiate a wide variety of commercial agreements, including manufacturing supply agreements, engineering service agreements, statements of work, master service agreements, and confidentiality agreements.
- Partner with engineering, operations, and commercial teams to structure contracts that support real business outcomes.
- Draft, review, and negotiate software license agreements, SaaS contracts, data and technology licenses, cloud services agreements, and professional services agreements.
- Draft, review, and negotiate commercial lease agreements and related facilities documents.
- Support M&A activity by managing due diligence, preparing legal documentation, and assisting with negotiation of acquisition agreements.
- Advise on data-security, privacy, and information-governance matters in collaboration with internal IT and security teams.
- Provide practical, solutions-oriented legal guidance to business leaders on day-to-day legal matters, commercial risks, and new business initiatives.
- Support corporate governance, intellectual property management, and legal compliance efforts.
- Develop and refine contract templates, playbooks, policies, and training materials to improve consistency and scale.
- Conduct legal research and prepare written analyses, memoranda, and recommendations.
- Assist with pre-litigation and litigation matters as needed.
What you bring to the Team!
We’re looking for someone who combines exceptional legal skills with strong business judgment and the ability to operate in a complex, fast-moving industrial environment.
Required- JD from an accredited law school and at least 5+ years of post-bar experience in a law firm or in-house legal department.
- Strong foundation in commercial contracting, including drafting and negotiating complex agreements.
- Excellent judgment, analytical ability, decision-making skills, and attention to detail.
- Ability to manage a high volume of diverse projects, set priorities, and meet deadlines.
- Outstanding negotiation skills, conflict-resolution abilities, and comfort delivering clear, direct guidance.
- Exceptional verbal and written communication skills; able to translate legal concepts into practical business advice.
- Large law firm training or experience.
- Exposure to or experience with government contracting (FAR/DFARS).
- Experience with export controls, international trade, or compliance programs.
- Familiarity with engineering, manufacturing, or technology-driven businesses.
Compensation Salary $200K - $225K plus annual cash bonus and equity
