We’re looking for an experienced and forward-thinking Commercial Counsel to partner with our Sales and cross-functional business teams. As our Commercial Counsel, you'll be at the heart of Zapier's enterprise strategy, partnering directly with our Enterprise sales team to close deals and drive revenue. You'll design AI-powered negotiation playbooks, develop automated contracting processes, and directly impact our most strategic customer relationships, making this role essential to Zapier's continued success.

Exceptional drafting and negotiation skills: you have deep experience negotiating a wide range of inbound and outbound technology contracts, including SaaS service agreements, license agreements, online terms of service, consulting agreements, and data privacy addenda.

Draft, review, negotiate enterprise customer contracts, including SaaS, licensing, and service agreements, to drive deal velocity and meet legal and business objectives.
Drive strategic impact: You'll make a valuable contribution to Zapier's enterprise strategy by ensuring deals move smoothly from negotiation to signature
Design AI-powered enterprise negotiation playbooks: Build and maintain negotiation playbooks that leverage automation and AI to provide clear guidelines, fallback positions, and best-practices for Sales teams. These playbooks will enable Sales to negotiate terms with greater autonomy, speed, and consistency, while ensuring alignment with legal and business priorities
Develop and maintain AI automation-powered contracting processes: enhance inbound and outbound contract workflows using Zapier and other tools.
Collaborate across functions: align with Procurement, Sales, and other teams to mitigate risk, streamline review, and scale legal enablement.
Respond to and lead triage of legal tickets from teams across Zapier, escalating to subject matter experts as needed to resolve issues quickly and effectively.
Champion AI transformation in legal work: You’ll help Zapier’s Legal team become a model for how modern in-house counsel can operate: combining legal expertise with cutting-edge technology to support the business at scale.
Other duties as needed to meet the ongoing needs of Zapier’s Legal team
Juris Doctor and active U.S. bar admission.
6-10 years combined in-house and/or law firm experience, especially in tech/SaaS.
Proven record in enterprise contract negotiation and document drafting.
Hands-on experience with legal automation and AI tools, and with Zapier.
