We are seeking an experienced, collaborative, leadership-focused, and detailed-oriented Associate Vice-President to join our Business Development Transactions organization (the “Transactions team”) within the Legal department. In this role, you will lead and manage a broad range of corporate transactions and lead cross-functional project teams. You will collaborate with senior business stakeholders across the organization to ensure that the Transactions team is providing the highest level of service and counsel to bring medicines to patients in need. This role reports to the Associate Vice-President and Head of Transactions.

We are seeking an experienced attorney to join our Transactions team focused on business transactions, mergers and acquisitions, research and technology collaborations, and innovative partnerships that advance business development and drive innovation at Lilly. We’re interested in a versatile, team-oriented candidate who has extensive experience leading transaction teams in either a law firm or in-house at another pharmaceutical or biotechnology company, and who is interested in working in a dynamic environment with broad responsibility and influence.

This multidisciplinary position requires that you to be and stay abreast of industry trends and effectively draft, review and negotiate a variety of complex agreements related to the acquisition and licensing of pharmaceutical intellectual property and other assets, as well as collaboration agreements between two or more organizations. This attorney will drive large negotiation teams across a variety of functions, including business development, finance, accounting, tax, ethics and compliance, human resources and Lilly’s research & development labs, in all phases of the transactional lifecycle. The attorney will provide strategic and legal advice for complex business transactions, including designing transaction structures, leading contract negotiation teams, consolidating input from across the Lilly enterprise, and partnering with Lilly’s senior management to enable efficient execution.

Basic Requirements: 

  • J.D. from an ABA-accredited law school. 
  • Candidate must be (i) admitted to the bar in at least one of the fifty states, and (ii) eligible for admission to the bar in Indiana under Indiana Admissions Rules. 
  • Minimum of 10 years of legal experience related to the drafting, review and negotiation of corporate transactions (pharmaceutical intellectual property licensing, mergers and acquisitions and other related transitions, collaborations, technology platforms or other innovative transactions, partnerships, and equity or venture capital-related financings) either practicing as a member of a law firm in a relevant area of law or practicing in-house at a pharmaceutical or biotechnology company’s law department, or a combination of the two.

Additional Skills/Preferences: 

  • Demonstrated ability to work on material corporate transactions independently and with limited oversight from initiation to execution.
  • Demonstrated ability to originate creative and innovative solutions to transactional issues.
  • Excellent verbal and written communication skills, with the ability to productively influence others. 
  • Manage outside counsel relationships, including with respect to new engagements, new matters, and ongoing billing, tracking, and performance management.
  • Demonstrated leadership with cross-functional transaction teams, including a broad variety of subject matter experts.
  • Effectiveness in working with in-house senior leadership, including demonstrated ability to contribute to business strategy.
  • Demonstrated experience with intellectual property law concepts, especially those relating to life sciences licensing. 
  • Previous experience with equity financings and other venture capital-related transactions. 
  • Regulatory and business law experience, with a focus on antitrust and life science regulatory matters.
  • Sound judgment, commitment to ethical conduct, and a high level of attention to detail.
  • Demonstrated business acumen and sound judgment, including familiarity with public company filings, financial reporting statements, and financial models. 
  • High engagement with subject matter and enterprise mission with the ability to seamlessly integrate into transaction teams, combined with the ability to effectively prioritize and manage workflows for multiple transactions in parallel.
  • Ability to quickly understand processes and integrate with Lilly Legal, and ability to absorb complex technical and scientific information on a project-by-project basis.
  • Up to date knowledge of current life science industry dynamics and trends, to inform strategic advice and transaction negotiations.
  • Willingness and competency to engage in enterprise-wide issues that cross legal, regulatory, commercial, and financial boundaries to find innovative solutions that enable bringing medicine to patients in need.

Actual compensation will depend on a candidate’s education, experience, skills, and geographic location.  The anticipated wage for this position is

$232,500 - $341,000

Full-time equivalent employees also will be eligible for a company bonus (depending, in part, on company and individual performance).
