About the role
Samsara seeks a high-performing, creative and proactive Associate Corporate Counsel to join our Legal team. This role will be a key contributor on a range of general corporate matters, including securities, corporate governance, and entity management, as well as helping to build out a best-in-class corporate legal function for a rapidly growing global business. The role will collaborate closely with cross-functional partners in finance, investor relations, equity administration, and the larger Legal team to provide clear, business-oriented and proactive advice.
This is a remote position open to candidates residing in the US.

In this role, you will:
- Corporate Securities & SEC Filings. Draft and review all SEC filings, including Form 10-K, 10-Q, 8-K, and proxy statements, ensuring compliance with securities laws and regulations. Manage internal processes for quarterly earnings announcements and advise on press releases and investor relations materials. Advise executives and the board on securities compliance matters.
- Corporate Governance & Board Support. Serve as a key contributor on a wide range of corporate governance matters and best practices. Manage and prepare materials for Board of Directors and committee meetings, including agendas, resolutions, and minutes. Drive preparation for and execution of the annual meeting of stockholders.
- Strategic Transactions & Corporate Finance. Provide comprehensive legal support for strategic transactions, such as investments, mergers and acquisitions, and corporate finance initiatives. Responsibilities include structuring deals, managing legal due diligence, drafting and negotiating transaction documents, and preparing necessary securities filings.
- Executive & Equity Compensation. Manage the legal aspects of the company's executive and equity compensation programs. This involves drafting and maintaining plan documents, advising on disclosure requirements, and ensuring compliance with relevant securities laws. Collaborate with people, equity administration and finance teams on program design and administration.
- Legal Advisory & Risk Management. Serve as a trusted advisor to senior leadership and cross-functional teams, offering proactive and business-oriented legal guidance. Identify, assess, and manage legal risks, developing strategies to achieve business goals while maintaining legal integrity. Stay current on emerging legal and regulatory trends and provide actionable insights.
Minimum requirements for the role
- J.D. degree
- Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
- Demonstrated business judgment and client counseling skills
- Strong ability to manage complex, cross-functional projects with attention to details, excellent communication and organizational skills.
