About the Role

Ontra is seeking an Associate Commercial Counsel to join our Legal team. 

We’re looking for an excellent customer-facing generalist who is excited to serve as a trusted, friendly partner to our Sales and Customer Success teams, navigate customer contract negotiations firmly yet collaboratively, streamline customer success support, and optimize sales and vendor contract review processes.

What You’ll Do

  • Review and Negotiate Contracts: Draft, review, and negotiate complex customer contracts (including MSAs, SaaS agreements, and AI-related terms), as well as a variety of other commercial and vendor contracts.
  • Manage Templates: Update and maintain playbooks and templates for commonly negotiated agreements.
  • Research and Compliance: Support corporate governance and compliance initiatives, stay sharp on changes to AI and tech laws, package and present key learnings to legal and business teams.
  • Support Customer Success: Provide direct support to and serve as the primary contact for our Customer Success team.
  • Provide Training and Enablement: Translate complex legal topics (AI, compliance, contract terms) into clear, actionable training materials and deliver regular enablement sessions for our Sales and Customer Success teams.
  • Boost Operational Efficiency: Identify friction points and implement solutions to streamline processes and upgrade our knowledge management practices.
  • Flex and Scale: Jump in to provide assistance with tasks outside of your core duties when workload demands shift.

What You’ll Bring

  • Experience: 2+ years in a legal role, with a focus on commercial law.
  • Legal Background: Licensed to practice law and in good standing in at least one U.S. state, with practical experience gained in a law firm, in-house, or a combination of both for 2+ years.
  • Contract Negotiation: Proficient in negotiating various contract forms and identifying key issues, with an emphasis on software licenses and services agreements.
  • Data Privacy Knowledge: Familiarity with data privacy regulations is preferred.
  • Communication: Strong written and verbal communication skills.
  • Collaboration & Partnership: A team-oriented mindset with a focus on building strong relationships and enabling cross-functional success.
  • Curiosity & Continuous Improvement: A proactive learner eager to get a breadth of experience, strengthen their technical and business expertise, and look for ways to improve processes and outcomes.

Pay Transparency

Ontra takes individual candidate location, experience, and skills into consideration when determining compensation. The base pay range is listed below.

Some positions may be eligible for additional compensation, such as commission, variable compensation, profits interest units, or other equity-based compensation, which are not included in the below base pay range.

$129,200$180,900 USD
