Assistant General Counsel, Government Contracts (Remote)

About the Role:
The Assistant General Counsel, Government Contracts provides legal guidance on federal, state, and local government contracts and subcontracts. This role focuses on reviewing and negotiating contract provisions, advising internal teams on rights and obligations under government agreements, and supporting compliance, investigations, and bid protest matters.
This position partners closely with business teams, the Legal Department, and executive leadership to mitigate contractual risk while supporting Conduent’s government business operations. The ideal candidate brings strong negotiation skills, deep knowledge of federal contracting regulations, and the ability to communicate complex legal matters clearly to stakeholders across the organization.
Candidates with slightly less experience may be considered for a Senior Counsel title.
Responsibilities:
• Reviewing and negotiating government prime contract and subcontract provisions
• Interpreting government contract clauses and counseling business teams, Legal Department colleagues, the General Counsel, and management on contractual rights and obligations
• Advising internal stakeholders on federal contracting requirements and contract risk mitigation strategies
• Leading or supporting ethics and compliance activities related to government contracting
• Leading or supporting internal investigations related to government contract matters
• Managing outside counsel in connection with federal, state, and local government bid protests
• Supporting government contract aspects of mergers and acquisitions activities
• Assisting in drafting company policies related to legal and compliance requirements
• Assisting in employee training and education on government contracting requirements and compliance obligations
• Collaborating with Legal Department colleagues and functional teams to provide general legal advice and counsel across the organization
Requirements:
• Earn a Bachelor’s degree from an accredited institution
• Obtain a Juris Doctor (JD) from an accredited law school
• Maintain an active license to practice law in one or more relevant jurisdictions
• Demonstrate a minimum of five years of relevant legal experience in government contracting
• Apply strategic thinking and negotiation skills when reviewing and structuring contract provisions
• Communicate clearly and effectively in legal and business correspondence and reports
• Negotiate diplomatically and effectively with internal stakeholders and external counsel
• Model exemplary behavior when working with internal teams and external partners
• Manage priorities effectively to ensure responsibilities are completed accurately and on time
• Adapt to and utilize new technology and legal tools as needed
• Present complex legal information clearly to stakeholders across all levels of the organization
• Maintain a strong sense of urgency while delivering high-quality legal work
Preferred Knowledge:
• Demonstrate knowledge of federal government contracting, including the Federal Acquisition Regulation (FAR), cost principles, Cost Accounting Standards, and bid protest processes
• Understand the legal aspects of government healthcare programs such as Medicaid and federally funded state contracts
• Apply a strong understanding of contract clause risk and liability considerations in government agreements
• Exhibit strong business and financial acumen when advising on contractual matters

For this position, actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. In addition to base pay, this position, based on business need, may be eligible for a bonus or incentive. In addition, Conduent provides a variety of benefits to employees including health insurance coverage, voluntary dental and vision programs, life and disability insurance, a retirement savings plan, paid holidays, and paid time off (PTO) or vacation and/or sick time. The estimated salary range for this role is ($120,000 - $160,000)
