Vice President, Corporate Development / M&A

The Opportunity

Marketo has an amazing opportunity for a bright, energetic Corporate Development specialist to join our elite team within a fast-growing software company. This position will report into the Chief Financial Officer and play a key role in the strategic direction of Marketo. The role will engage directly with Vista Equity Partners and Marketo's Senior Leadership Team, including the CPO, CFO, COO and CEO.

Given the frequent meetings and collaboration with Senior Executives and leadership throughout the organization, strong interpersonal and communication skills are required. Candidates must be prepared to work in a fun, fast-paced, and dynamic environment.

The VP of Corporate Development will lead the Company's efforts for market research, company evaluation, sourcing, structuring, due diligence, financial modeling, valuation analysis and deal negotiation. This position will reside in our newly opened and freshly remodeled downtown Denver office, with a "Silicon Valley" atmosphere where the business is creating a Global Center of Excellence.

RESPONSIBILITIES:

  • Accelerate Marketo's growth through leading disciplined M&A deal execution.
  • Research industry participants and competitive landscape, conduct in-depth company evaluations to uncover risks and opportunities, and investigate industry trends relevant to Marketo's business.
  • Cultivate relationships with key constituents in the broader MarTech ecosystem (i.e. venture investors, Private Equity, investment bankers, and strategic companies) to identify new acquisition opportunities.
  • Evaluate target companies for financial, operational and strategic fit and the impact of the potential transaction on business strategy.
  • Partner with Senior Executives and Business Unit leadership across sales, marketing, product development, and operational functions to identify strategic opportunities and develop M&A priorities for Marketo.
  • Draft, evaluate and summarize confidential information memoranda, term sheets, purchase agreements, financial statements, and other related materials.
  • Lead cross-functional deal teams consisting of members of various business leads, finance, legal, HR, IT, etc. to ensure the timely completion of valuations, diligence and integration planning.
  • Execute all aspects of strategic acquisitions, divestitures, joint ventures and strategic investments from inception through due diligence, valuation, negotiation, closing and integration, and coordinate internal approval and communication processes for completion of a transaction.
  • Ensure that business and economic standards are being achieved; certifying deal return on investment, advising Senior Executives on deal financial risks and return, making final financial recommendations in a clear and confident manner and once approved, flawlessly executing the transactions.
  • Build best practices for acquisition diligence and integration processes

     

REQUIRED SKILLS / EXPERIENCE: 

  • Adaptable – must adapt to a dynamic, rapidly changing business environment, with occasionally long hours. Comfortable managing multiple projects simultaneously with multiple business partners.
  • Business acumen – deep understanding of what drives growth and value.
  • Clarity of thought – strategic thinker with strong written and verbal communication skills, including ability to prepare presentations and build consensus / receive buy-in from Executive leadership.
  • Team Oriented – Able to earn trust and influence and motivate without authority.Capable of leading others, working independently, and earning respect and credibility from Executives through knowledge, execution ability, inclusiveness, and effective communications.
  • Proactive – highly motivated self-starter and intellectually curious with a tendency towards action and desire to build a career at Marketo.
  • Resilient – independent problem solver with ability to overcome roadblocks or other obstacles and pursue and close complex deals.
  • Fluent in Excel and Powerpoint, with proven financial modeling experience and a deep understanding of valuation principles.
  • Bachelor's degree in Finance, Accounting, Economics or a quantitative discipline; MBA or advanced degree a plus. Professional qualifications such as CFA or CPA a plus. Experience in technology / software (SaaS) industry a plus.
  • At least 4 years of M&A experience and direct experience preparing and presenting materials to Board-level Executives
  • 5+ years in a Corporate Development role and 10+ years of work experience in software (SaaS preferred) industry, investment banking, private equity or strategy consulting firm.
  • Willingness to travel up to 20% of the time for business purposes
