WHO YOU ARE...

As the first Corporate Paralegal at Maxwell, you will have the ability to oversee the administration of contracts, general corporate work, and help build the processes to streamline contract approval. If an area of interest for you, this person will also get to be a decision-maker in determining potential vendor and contract management software. As the second team member of the Legal team, reporting directly to the General Counsel, you will have the opportunity to get in on the ground floor of a new Legal Department and will help in building out a team.

WHAT YOU'LL BE DOING...

  • Apply best practices to develop contracts (Statements of Work, Amendments, Letters of Authorization) for various types of service engagements.
  • Ensure the identification of opportunities to minimize contract risk and coordinate commercial risk mitigation measures.
  • Draft and/or review contracts in compliance with company policy as well as maintain a centralized repository of legal documents
  • Prepare contract and commercial risk assessments and deliver contract briefings to business unit/service line leadership, as required.
  • Coordinate the drafting, review, and proper execution of all contracts with business units, service lines, IT, HR, Legal, and Finance, as applicable
  • Follow contract management process controls to verify contract documents are fully approved and vetted internally before presenting to the client.
  • Assist in negotiating, structuring, tracking, and managing contractual documents that establish the business relationship with clients, subcontractors, vendors, and/or partners, as applicable.
  • Provide on-demand contractual clarifications/position statements to project team members as required.
  • Revise documents for adherence to company policy/position statements, and advise on contractual rights and obligations, and provide interpretation of terms and conditions.
  • Collaborate with service lines to fully understand the products and/or services being provided and develop contract document templates.
  • Monitor and recommend adjustments to commercial strategies, position statements, and contractual terms based on audits, market conditions, and changes in the law.

IDEALLY YOU'LL HAVE..

  • Prior experience within a law firm or corporate legal department
  • Bachelor's degree in Finance, Paralegal, English, or extensive experience within a related field
  • Strong understanding of contract and vendor management strongly preferred
  • Since we're hoping to implement Contract Management software, experience assessing or exposure working on these types of platforms is a huge plus!
  • Understanding of contract law, types, terms and conditions, legal requirements, and negotiation processes
  • Working knowledge and proficiency in drafting contract language without the assistant of content management tools

Compensation Range: $60,000-$80,000
