Convercent is looking for a highly energetic, intellectually curious and experienced Corporate Counsel to manage all operational and corporate legal matters in an early-stage, high-growth, multi-national organization. This individual will report to the CFO and be the Company’s first in-house counsel with the opportunity to develop and lead its legal department.
Responsibilities include, but are not limited to:
- Work with external counsel to advise the company and senior leadership on a broad range of federal, state and international regulatory, compliance and data privacy matters including identifying areas of risk and making suggestions for improvement
- Manage the Company’s Contracts Administrator and partner with its Sales department to review, revise and negotiate sales agreements
- Develop an acute understanding of the Company’s international data privacy operating requirements
- Provide ad hoc guidance to the Human Resources and Compliance department
- Manage the Company’s intellectual property portfolio and strategy
- Act as the internal documentation lead while working with external counsel on any future fundraising or M&A activities
- Manage the capitalization table and equity documentation
- Implement applicable legal/regulatory changes
- Ensure compliance with all corporate governance matters
- Liaise with Company outside counsel on specialty/nuanced matters
- Continually improve the efficiency and effectiveness of business processes
Desired Skills/Experience:
- Strong interpersonal skills and proven success working in a team environment
- JD degree and 4 – 5 years of combined top law firm/in-house experience
- Candidate will need to be admitted to Colorado or be bar licensed in another state in good standing and submit an application to the Colorado State Bar for admittance
- Experience representing clients in the SaaS software and/or professional services related industries
- Familiarity with laws relevant to the sale and marketing of SaaS software including with respect to licensing, data protection/privacy, intellectual property, IT, antitrust, export control and regulatory compliance
- Extensive experience with corporate governance and commercial contracts: reviewing, drafting, and negotiating a wide range of commercial agreements including but not limited to software licensing, SaaS, vendor/procurement or sales/service agreements, real estate, professional services agreements, and non-disclosure agreements and working knowledge of data privacy, intellectual property, M&A transactions, litigation management, and employment law
- Strong ability to distill and synthesize complex concepts to effect efficient business decisions
- Commitment to working in a(n) entrepreneurial/"startup" environment where resources and timelines are tight
- Strong oral/written communication, and presentation skills
- Comfortable working in Microsoft Office: Word, Excel and PowerPoint
- Ability to interact effecorpoctively with all level of staff, management, and board of directors
- High level of intellectual curiosity
