Overview

This is a unique opportunity for a junior to mid-level attorney to jump in and thrive along with a young, growing financial technology company.  This position will focus primarily on supporting the General Counsel as the company’s first point of contact with regard to customer-related legal needs, including drafting, negotiating, and reviewing a variety of client contracts and legal documents, such as financing agreements, promissory notes, guaranties, and other commercial contracts.  The Corporate Counsel will also assist more senior attorneys with a wide variety of corporate legal matters, as needed.

 

The ideal candidate will possess 3-5 years’ experience in corporate transactions law and be eager to learn more relatively quickly.  You should be a self-starter with the ability to take direction and transform it into ownership of your appointed functions. A successful Corporate Counsel will aspire to grow in intimacy with the business, products, and understanding of related legal risk exposures and to develop into a professional with management capabilities.

Areas of Accountability:

  • Client Deal Process Management
    • Conduct legal due diligence related to client deals and exercise judgment to take appropriate actions based on that analysis
    • Draft, review/markup, negotiate and close client contracts, including financing and security agreements, loan agreements, financial guaranties, supporting transactional documents, correspondence and other legal documents related to day-to-day transactional needs
    • Cooperate with sales, credit risk and client success stakeholders to appropriately document and close client deals while ensuring the legal integrity and corporate protections built into the client contracting process
    • Provide rapid, practical, business-oriented legal and contracting advice directly to internal stakeholders
    • Represent the P2Bi legal department both internally and externally with respect to the designated areas of responsibility
  • Contracts Management
    • Manage the company’s collection of form contracts and documents, including making updates, amendments, and modifications based on specific circumstances and business needs
    • Organize and track Client contracts and documentation
  • General Corporate Legal Support
    • Support the Senior Corporate Counsel as needed with research, review, negotiation, and drafting of various legal documents relating to collections and special assets
    • Support the General Counsel as needed with a variety of matters, including strategic corporate transactions, securities compliance, legal research, corporate governance matters and special projects
    • Monitor, research and analyze existing law and changes in laws and/or statutes and regulations to evaluate and assess impact on the company and assist in developing necessary policy, process, or product changes
    • Assist with employee training and education on legal and compliance matters, as needed

Skills & Abilities:

  • Ability to read, analyze and interpret financial reports and legal documents related to financing, especially asset-based lending and factoring
  • Excellent written and verbal communication skills and exceptional skills in negotiation and interpersonal relations, with an emphasis on collaboration and empathy while advocating for best legal practices and approach
  • Ability to communicate persuasively – in writing, speaking, and via technology
  • Ability to interact with and provide legal solutions that respect the viewpoints of various internal clients
  • Comfortable with fast-paced, high-demand environment, deadlines and multiple stakeholders’ interests to consider
  • Meticulous, detail-oriented approach to work balanced with good time management and strong instinct for organization and prioritization
  • Strategic thinking skills, evidenced by the ability to develop strategies that reduce potential areas of legal risk while furthering business objectives
  • High degree of professionalism and integrity, with ability to handle confidential information appropriately

Qualifications:

  • Juris Doctor degree from an accredited law school
  • Colorado bar admission in good standing
  • 3+ years of associate-level legal experience, ideally 3-5 years
  • Expertise in more than one of the following required areas: contracts, corporate transactions, financing/lending, secured transactions  
  • Additional experience with human resources, collections, business litigation, securities, corporate governance, technology/IP - a plus
  • Understanding of business financing transactions, generally.  Experience with or understanding of alternative lending, ABL, secured lending and factoring – a plus
