We’re currently looking for:
RingCentral is looking for a seasoned, practical Director, Corporate and Securities Counsel, with ten or more years of experience to join our legal team. This self-motivated individual will be comfortable working in an exciting, high-growth, fast pace sales-driven culture and will be responsible for handling securities compliance, corporate governance matters, and other general corporate matters. This position is based in our Belmont, CA headquarters, and will report directly to our Chief Compliance Officer.
To succeed in this role you must have experience in:
SEC filings, including Forms 10-K, 10-Q, 8-K, S-8, Schedules 13G, and Section 16 filings
Prepare for annual stockholder meetings, including proxy statements and meeting planning and logistics
Ensure compliance with SEC and NYSE rules and regulations
Collaborate with the Finance, Accounting, IR, PR and marketing teams on external communications such as earnings releases, press releases, investor presentations and marketing materials, and the Company website
Assist with corporate governance matters, including Board and Committee support, Committee charters and company policies
Work closely with RingCentral’s Employee Success and Stock teams on our equity plans, and administer RingCentral’s Insider Trading Policy and 10b5-1 plans
Assist in managing US and international subsidiary governance and secretarial matters
Support the Corporate Development team on mergers & acquisitions
Collaborate with and manage outside legal counsel on corporate and securities matters
Provide support for other projects, as needed
Desired Qualifications:
JD with excellent academic credentials
California bar (or eligibility to become a registered in-house counsel)
At least ten years of relevant corporate experience, including both law firm and at least 5 years of in-house representation of publicly traded technology companies
1933 and 1934 Act disclosure and reporting experience
M&A experience
Corporate governance and Board of Directors experience
Experience managing one or more paralegals
An ownership mentality – sees tasks through to completion. Goes the extra step to proactively seek out answers to problems that may fall outside his/her area of expertise.
Ability to synthetize information and present key data points in reports and viewgraphs.
Confidence in working and collaborating with both the legal team and other departments, and outside representatives and senior management. Team player.
Ability to effectively manage time, prioritize tasks and work within deadlines with little supervision in a fast-paced environment.
Attention to detail.
Effective written and verbal communication skills, facilitating clear and open communication at all levels of the organization, including senior management and the Board of Directors.
