General Counsel
Evergent Technologies, Inc. seeks a General Counsel to optimize its organizational efficiency
regarding legal matters. The General Counsel will primarily be responsible to examine and draft
business agreements and contracts with customers, vendors, and other outside parties; manage
trade secrets, regulatory compliance, and data privacy and protection programs; and for corporate
governance. To ensure success, the General Counsel needs to be a team player with outstanding
advocacy and people skills and comfortable working in a fast-paced environment.
General Counsel Responsibilities:
Advising executive, senior management, and board on various matters such as legal rights,
and new and existing laws.
Managing organization's legal matters.
Drafting of board minutes, resolutions, and other corporate documents.
Drafting, examining and negotiating agreements, such as customer, vendor and
employment agreements.
Maintaining knowledge of the organization’s operations and legal documents.
Preserving all corporate records.
Creating and assisting with the implementation of data privacy and data protection policies and
processes.
Liaising with outside counsel regarding their assignments.
Advising Human Resources on legal matters and drafting employment policies and
procedures.
General Counsel Requirements:
Juris Doctor degree from an ABA-accredited law school.
Licensed to practice law in good standing in at least one state.
7+ years of practice with an established law firm and/or relevant in-house experience.
A resident of Silicon Valley area able to work in Evergent’s Sunnyvale headquarters a
portion of each week.
Proficient legal experience with drafting and negotiating service and support agreements for
providers of web-based platforms and SaaS applications.
Good general knowledge of employment law.
Experience with corporate governance issues and corporate secretarial duties.
Excellent verbal and written communication skills.
Proficient understanding of confidentiality and data protection.
Organized, responsive and able to prioritize workload efficiently.
Sound understanding of business issues and ability to give pragmatic advice.
