Corporate Counsel

Position Description
This position will provide legal support for Zayo’s Corporate group. The position will support the Deputy General Counsel and other members of the Legal Team by working on a variety of legal matters including M&A, Corporate Governance, Debt Finance, Customer Contracts, Vendor Contracts and Real Estate. We are seeking an exceptionally strong commercial and legal candidate who is ready for accelerated learning and career growth.
Responsibilities
Provide day-to-day legal advice on a variety of matters, including company policies and procedures
Responsible for reviewing and negotiating sales, vendor, corporate, marketing, real estate and other contracts
Provide contract interpretation and guidance
Responsible for corporate governance including board documentation.
Assist in M&A transactional documents and diligence, regulatory filings and other related matters
Advise the company on the terms and conditions of the company’s credit agreements and indentures
Responsible for reviewing all M&A related NDAs
Responsible for trademark and IP management
Participate in other strategic initiatives and projects as needed
Qualifications
Law Degree and Bar Admission required.
Five years of recent experience with M&A, commercial transactions, corporate governance, and debt finance required.
Ability to communicate with other personnel and external parties on complicated topics through strong, organized writing and verbal skills.
Strong attention to detail.
Creative problem-solver.
Strong organizational and interpersonal skills, including management of projects and workload and setting goals and priorities.
Must be a strong team player able to work cooperatively with others both internal and external to the company to find practical and creative solutions to problems.
Computer and software systems experience.
Prior experience successfully operating in a fluid, fast paced and entrepreneurial environment.
