Position Description
Zayo is seeking a junior in-house attorney to work on the Corporate legal team. This position will provide legal advice and assistance on M&A, other strategic transactions, corporate governance, IP, commercial contracts, regulatory issues, and a wide assortment of other in-house corporate legal matters.
Zayo is a dynamic company. We are looking for a self-starter who is excited by the opportunity to have a lot of autonomy and responsibility and a varied mix of work. This position will work directly and closely with the Company’s Corporate General Counsel, the rest of Zayo’s legal team, and Zayo’s business team.
Responsibilities
Providing legal advice and support in connection with:
- Mergers and acquisitions
- Financing transactions
- ‘34 Act filings including proxy statements
- Annual meeting preparation
- Board resolutions and board meeting materials
- Legal entity management and re-organization
- Commercial contracts
- Compliance and company policies
- Section 16 filings and Reg FD and insider trading advice
- Regulatory research and advice
- Outside law firm management
Qualifications
- Law Degree and Bar Admission required
- 3 or more years of corporate experience required, at either a law firm or in house; public company experience preferred but not required
- Excellent verbal and interpersonal skills required
- Ability to communicate with other personnel and external parties through strong, organized writing and verbal skills
- Strong attention to detail
- Strong organizational skills, including management of projects and workload and setting goals and priorities
- Team player able to work cooperatively with business people and outside counsel to find practical and creative solutions
- Computer and software systems experience
- Prior experience successfully operating in a fluid and entrepreneurial environment
