Job Description:

Contracts Specialist

We're looking for a Contract Specialist within our Legal team to support our continued business growth.

In this position, you will be responsible for the administration of contractual documents that establish business relationships with customer, vendors, and/or partners. This position is highly collaborative with internal and external stakeholders as a representative of the DAT legal team; assisting stakeholders in reaching effective resolution while also ensuring compliance with various policies and best practices. 

What You’ll Get to Do:

  • Drafting, evaluation, and negotiation of assigned contracts in accordance with company policies and practices
  • Non-disclosure Agreements, Sales and Purchasing Agreements, Consulting Agreements, Licensing Agreements, Partner Agreements, review of customer or vendor proposed terms and conditions
  • Work closely with internal team (legal, finance, sales, product development, and other stakeholders) and external parties on assigned contractual matters, ensuring timely review and approval of terms
  • On assigned standard and nonstandard contracts, provide redlined recommendations and assist in negotiation until consensus has been reached
  • Clearly explain contract terminology and interpretation to internal and external stakeholders in simple, everyday language
  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, contractual changes, and other documents for all projects
  • Assist in creating new and fine-tuning existing procedures for contract management and administration in compliance with company policy
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation
  • Manage and maintain a contracts database

Education and Experience:

  • Bachelor’s degree from an accredited college or university, paralegal certificate, or equivalent years of experience
  • 5+ years of relevant experience
  • Demonstrable knowledge of standard contract language and terminology is a must
  • Experience working within a corporate contract or legal department is a plus
  • Software/Technology industry experience is a plus
  • Experience utilizing CRM is preferred; Salesforce experience is a plus

  • Ability to build strong relationships with internal customers, business leaders and peers
  • Ability to work under broad supervision and exercise frequent independent judgment
  • Strong sense of personal ownership and ability to both receive and provide feedback
  • Familiarity with typical sales cycles and practices
  • Team-player, self-motivated, and adaptable
  • Experience working with a diverse employee base across remote and local environments
