About the role:

HomeAdvisor’s Legal Department is seeking a Contracts & Corporate Paralegal to join one of the most recognizable home services brands in North America. The paralegal will have primary responsibility for management of commercial transactions and corporate governance. The position will be based at our headquarters in Denver, Colorado and will report to the Associate General Counsel of HomeAdvisor.

Responsibilities:

COMMERCIAL TRANSACTIONS

  • Administration of the contract management process according to established policies and procedures
  • Manage incoming requests from internal customers, triage, and determine appropriate contracting methodology
  • Assist in-house attorneys in reviewing, recommending, and drafting contracts and language using ANGI standard terms and conditions and legal principles
  • Input relevant information into the electronic contracts database
  • Process finalized contracts in tracking software for approval and e-signature and provide appropriate notifications to business managers
  • Draft, maintain and manage contract templates and alternative language/substitute clauses, including standardized employment agreements, severance agreements, non-compete agreements, and confidentiality agreements
  • Ensure departments are educated on and adhere to contracting policies and procedures

CORPORATE GOVERNANCE

  • Assist with legal entity formation and management and qualifications to do business
  • Act as information source for current and historical corporate information
  • Maintain corporate records and entity management database
  • Prepare and maintain electronic data for due diligence and organize, distribute, and file transaction documents for M&A and financings

COMPENSATION ADMINISTRATIVE MATTERS

  • Provide organizational support to in-house attorneys, including assistance with sales commission plan program
  • Perform legal and factual research and statistical analyses
  • Assist in-house attorneys with development, centralization, and storage of corporate-wide compensation plan and program
  • Support special projects as needed, such as process improvements, presentations, and Sarbanes Oxley requirements

Qualifications:

  • Bachelor's degree from four-year college or university, paralegal certification, or an equivalent combination of education and work experience
  • 4+ years’ experience as paralegal supporting commercial contracts required
  • Working knowledge of standard contractual language, including terms and conditions
  • Prior experience working in-house at a public company and at a law firm preferred
  • Experience with employment and/or immigration law and litigation a strong plus as the candidate may be asked to support our in-house team on other matters
  • Must be able to communicate to cross-functional management in concise, easily understood terms
  • Ability to handle confidential data with appropriate discretion
  • Excellent written, verbal and social communication skills
  • Top notch organizational skills
  • Proven ability to meet reporting deadlines with quality, speed and accuracy
  • Strong work ethic and sense of accountability and integrity
  • Solid customer service focus and ability to work both independently and collaboratively with diverse teams across the organization
  • Self-starter, with a demonstrated ability to identify issues, resolve problems and drive projects to completion
  • Trustworthy, positive, energetic, optimistic attitude with a willingness to roll up your sleeves
  • A creative problem solver who is eager to learn about new ideas and concepts
  • Working knowledge of DocuSign and ContractLogix or similar software a strong plus
  • Working knowledge of hCue CTAdvantage or similar corporate organizational software also a strong plus
