Job summary
As Corporate Counsel (Commercial Contracts), you will report directly to senior member of the customer contracts team and be responsible to structure, draft, and negotiate complicated technology, distribution, licensing, and other commercial agreements, and provide legal support to the Sales team. Some travel, domestic and international, may be required.
What you will do
- Draft and negotiate technology agreements, including software as a service (SaaS) agreements and software license agreements
- Work with channel partnership teams to negotiate and document partner / distribution / managed service provider relationships
- Negotiate ancillary agreements, such as NDAs, privacy agreements, and security agreements
- Review and revise various form agreements
- Ensure contractual compliance with industry standards and technical product requirements
- Support, build positive relationships with, and provide legal guidance to internal business teams
- Work collaboratively to identify and implement process improvements and support updates to internal playbooks and templates
- Manage and meet internal SLAs, and help juggle priorities in a fast-moving environment
- Own specific legal projects and develop subject matter expertise regarding legal issues faced by the customer contracts team and internal business partner
What you will have
- Juris Doctor (JD) degree or similar
- Licensed to practice (and in good standing) in at least one state in the United States
- 3-8 years relevant post-law school experience
- Strong drafting and communication skills
- Experience with contract negotiation, interpretation, and administration
- Excellent business acumen, well-developed problem-solving abilities, and high emotional intelligence
- Strong work ethic, a “hands on” mentality, accountability, and the ability to work in a fast-paced, ever-evolving business environment while juggling and prioritizing multiple projects at the same time
- Adaptable, flexible, and comfortable with uncertainty and ambiguity
- Desire to take on greater responsibility as experience is gained and skills are further developed
- Keen diplomatic instincts and customer service mentality
- Ability to work independently, employ good judgment, act with integrity, take ownership, and seek advice when necessary
Nice to have
- Experience at a top regional, national, or international law firm
- Experience working in-house for a tech company
- Knowledge or experience in data security and privacy
- Knowledge of or experience with digital certificate industry
