Description

We are a top-tier venture capital-backed company seeking a passionate, energetic In-House Counsel to report directly to and partner with our CEO. This position is responsible for leading corporate strategic and tactical legal initiatives. In-House Counsel is directly involved in complex business transactions in negotiating critical SaaS contracts and oversees the work of outside counsel.

Please only apply for this position if you have worked with/for a SaaS/Software/Technology based company that has negotiated agreements to multi-million dollar clients/healthcare payors. 

  • Draft, negotiate and advise on a variety of legal agreements:
    • Primarily multi-year SaaS and services client contracts, managed service agreements, license agreements, sub-contractor/vendor agreements, non-disclosure agreements and consulting agreements.
  • Drive risk mitigation and negotiation strategies.
  • Maintain a deep understanding of the business and advise senior management on legal risks:
    • Assisting in development of creative solutions as a member of the team, not solely as the legal advisor.
  • Specify internal governance policies and regularly monitor compliance
  • Manage the legal effort on special transactions including financings, acquisitions and joint-ventures
  • Deal with complex matters with multiple stakeholders and forces
  • Provide clarification on legal language or specifications to everyone in the organization
  • Passionately conduct all work with integrity and responsibility
  • Maintain current knowledge of alterations in legislation

Skills and Abilities

  • Expert knowledge of negotiation skills and tactics, including demonstrated success with direct negotiation
  • Experience with SaaS/data licensing agreements, data acquisition, product development, and privacy.
  • Ability to say no, with facts, during negotiations
  • Ability to multi-task
  • Drive and sense of urgency to complete tasks in a timely professional manner
  • Initiative and willingness to do what it takes to get the job done
  • Demonstrated experience in quality execution of work in the absence of a support staff
  • 5+ years of minimum experience and leadership role in SaaS technology contract negotiation and execution
  • 2+ years of experience in Delaware corporate and transaction legal work.
  • Leadership in a minimum of 3 venture capital financings

  • Business development, supplier, and sub-contractor contract negotiation.
  • Employment related work – ISOP, 409a, non-competes, immigration support
